ClarusONE Sourcing Services LLP is a joint venture providing strategic generic pharmaceutical sourcing services to its Members, Walmart, Inc. and McKesson Corporation. The two companies have over 25 years of history working together to improve the quality and lower the cost of pharmaceutical care to patients in the United States. As part of this arrangement, in 2016 McKesson and Walmart established ClarusONE in London to provide strategic pharmaceutical sourcing services for both companies. ClarusONE ensures both companies have access to the right generic pharmaceuticals to meet customer demand at a market competitive cost.
The Senior Counsel serves as primary legal support for business teams on routine legal matters and commercial transactions - principally relating to generics pharmaceutical sourcing initiatives in the U.S. market - as well as providing negotiation and drafting, issue identification and escalation. Reporting to ClarusONE’s Managing Chief Counsel, the Senior Counsel is responsible for drafting, reviewing, and negotiating contracts, providing guidance on contract provisions and potential risks in accordance with applicable law, operational practices and internal policies. Success is measured by quality of advice, strength of stakeholder relationships, ability to work independently and assess when to seek guidance of Managing Chief Counsel and other subject‑matter experts.
Responsibilities
- Provide legal support to ClarusONE’s business teams in London.
- Draft and review contracts, amendments and standard terms and conditions for generics procurement, and provide guidance on contract standards.
- Participate in contract negotiations and communicate with generic pharmaceutical suppliers on contract issues, proposals and disputes.
- Other relevant contracts include IT agreements, vendor terms and conditions, licence agreements and intercompany documentation.
- Work closely with ClarusONE’s business teams and Members’ contract management teams to identify, analyse and resolve legal and business risks and make recommendations.
- Monitor compliance with internal processes and policies, working with the Managing Chief Counsel to create, update and operationalise policies and standard operating procedures.
- Deliver training on a variety of legal and compliance topics of relevance to ClarusONE and the Members.
- Represent the ClarusONE business on projects as a subject‑matter expert and collaborate with internal legal counsels and senior leaders, as applicable.
- Monitor applicable legal and policy developments that may impact the JV, including, but not limited to, developments in the US pharmaceutical industry.
- Identify opportunities and recommend solutions for process and automation enhancements.
Requirements
U.K. Solicitor or Barrister with a minimum of 3 years’ post qualification experience. Legal experience in a corporate/commercial in‑house legal team or law firm. Experience working in a healthcare regulatory environment, with pharmaceutical procurement experience preferred. Proficient in Office 365, including Word, PowerPoint, and Outlook.
