We have an exciting opportunity for a Company Secretarial Assistant (Legal Governance) to join our team based in Glasgow, on a full time, permanent basis. Due to business requirements, this role is predominantly based in the office. This is an ideal opportunity for a new or recently qualified Solicitor or a graduate with a Law or Governance degree. We will support you to work towards the Chartered Governance Institute (CGI) qualification.
You will support the Company Secretarial team with day to day company secretarial and administrative tasks and, with support and training, assist in providing company secretarial / governance services to selected investment trust and venture capital trust clients. As we have offices across the UK, occasional travel may be necessary.
Main Responsibilities- Supporting the production of Board and Committee packs, meeting administration, and preparation of minutes and actions
- Assisting in ensuring relevant client companies operate in compliance with their Articles of Association and applicable governance rules
- Supporting statutory filings and maintenance of statutory records
- Assisting with Annual and Interim Reports, Annual General Meetings and corporate transactions
- Supporting compliance with the FCA Listing, Disclosure Guidance and Transparency Rules, including stock exchange announcements
- Assisting with shareholder documentation and queries
- Reviewing and organising legal and governance documents
- Providing input to ad hoc projects across the team
- A degree in Law, Governance, or a related subject, or relevant experience in a legal, governance or regulated environment
- A genuine interest in corporate governance and company secretarial work
- Strong organisational skills and attention to detail
- Strong time management skills and ability to meet deadlines
- Strong interpersonal and communication skills
- Good working knowledge of Microsoft Word and Excel
