Director, Legal - Debt Finance
Marsden is currently retained by a leading global institutional investor seeking an experienced finance lawyer to join its London-based legal team as a Director supporting a growing infrastructure debt investment platform.
This is a rare opportunity to move into a strategic buy-side role, working closely with investment professionals on the origination, execution and ongoing management of complex debt investments across Europe and other developed markets.
The successful candidate will play a key role in supporting investments across sectors including energy transition, digital infrastructure, transportation, utilities and environmental services.
Key Responsibilities
Lead legal execution of infrastructure debt and private credit transactions across multiple jurisdictions.
Advise investment teams on structuring, negotiating and documenting debt investments throughout the transaction lifecycle.
Support investment committees by identifying and assessing legal and transaction risks.
Partner closely with deal teams on acquisitions, refinancings, amendments, restructurings and portfolio management matters.
Manage external counsel and coordinate legal workstreams across complex cross-border transactions.
Provide commercially focused advice on regulatory, governance and risk considerations affecting debt investments.
Contribute to the ongoing development of legal precedents, transaction processes and best practices across the platform.
Candidate Profile
Qualified solicitor with significant (10PQE+) gained within a leading international law firm and/or institutional investment platform.
Strong background in infrastructure finance, project finance, acquisition finance, private credit or debt capital deployment.
Experience advising on complex financing transactions in Europe and internationally.
Excellent drafting and negotiation skills with strong commercial judgement.
Comfortable operating in a fast-paced, transaction-driven environment.
