An established financial services client of ours is seeking a highly experienced Senior Legal Counsel to join its in-house legal function in London. This is an excellent opportunity to play a key role in a lean, high-performing legal team that supports complex and high-profile fundraising and secondary transactions across private equity, private credit, infrastructure, and energy transition strategies.
About the Role
The successful candidate will provide legal oversight across fund formation, investor negotiations, and GP-led and LP-led secondary transactions. Working closely with deal teams, senior leadership, and external counsel, you will help navigate regulatory, structural, and documentation complexities associated with global fundraising and secondary deal execution.
Key Responsibilities
- Provide legal support for primary fundraisings, including review and negotiation of limited partnership agreements (LPAs), side letters, and fund documentation.
- Advise on the legal aspects of GP-led secondary transactions, fund restructurings, and continuation vehicles.
- Support commercial teams with legal input during investor negotiations, diligence processes, and transaction structuring.
Candidate Profile
- Qualified solicitor with 10+ PQE, ideally gained at a top-tier law firm and/or in-house at a leading fund manager or private markets institution.
- Deep knowledge of private fund structures, partnership law, and the commercial dynamics of fund formation and fundraising.
- Strong understanding of GP-led secondaries and the legal nuances of continuation fund transactions.
- Excellent drafting, negotiation, and communication skills.
- Highly commercial, collaborative, and pragmatic approach to legal risk management.
