We are looking to add an Analyst to our London office, joining a lean, senior-led team advising founders and management teams behind many of the world's leading LegalTech and Compliance Software businesses. This is an A1 hire with a start date in September or early October 2026.

If you want ownership of live workstreams, direct exposure to clients and counterparties, and cross-border transaction experience early in your career rather than several years into it, this is the seat. Applications are reviewed on a rolling basis, so we would encourage early submission.

About the firm:

Marks Baughan is the market-leading M&A advisory firm focused on LegalTech and Compliance Software transactions. Since 2003 we have completed 125+ transactions representing over $10 billion in value, advising founder-owned and led businesses, PE-backed platforms, and global strategic acquirers. Our position in the sector generates deal flow well beyond what a firm of our size would typically see, and we are selective about the mandates we take.

We are a mid-market focused firm working across three service lines: M&A Advisory, Capital Raising (typically Series B and above), and Strategic Advisory for boards, founders, and CEOs. Coverage spans the US, UK, Europe, Australia, and select markets in Asia and the Middle East, with approximately 40% of our transactions involving an international buyer or seller. The firm is headquartered in Philadelphia, with a London office and further coverage from Chicago and San Francisco.

Senior professionals lead every engagement from preparation through to closing, working side by side with the junior team day to day.

The opportunity:

You will work in small deal teams, typically alongside an Associate and a senior banker, supporting the origination and execution of sell-side, buy-side, and capital-raise mandates across LegalTech, Compliance, and adjacent enterprise software and tech-enabled legal services markets.

Key responsibilities:

  • Assist in the preparation of pitches and other origination materials and databases
  • Support the drafting of Information Memoranda (IMs), Management Presentations, and wider transaction materials
  • Build and maintain financial models, including operating models, customer cubes, and valuation analyses
  • Benchmark trading comparables and precedent transactions to underpin valuation analysis
  • Collect, analyse, and interpret complex company and market datasets, and translate them into insights the team can act on
  • Conduct industry research, including target company profiles, market analysis, competitive positioning, and buyer universe mapping
  • Support diligence workstreams, including Data Room preparation and the management of buyer Q&A
  • Provide day-to-day process support, including agendas, meeting notes, and buyer status tracking

Qualifications:

  • At least six months of M&A experience, either as an intern or in a full-time Analyst capacity, at a strong investment bank or boutique M&A firm; or experience at an accounting firm with meaningful financial due diligence and modelling exposure
  • An undergraduate degree in a relevant subject at 2:1 or above (or equivalent) from a reputable university
  • Solid financial knowledge foundation (accounting, financial analysis and modelling, valuation methodologies, etc.) and strong analytical skills
  • Comfortable operating in a lean deal team, taking ownership of your workstreams and running multiple live projects in parallel
  • Strong timekeeping, organisational, and interpersonal skills, as well as excellent attention to detail
  • Fluent in English (both written and spoken), and proficient in Excel, PowerPoint, and AI & research tools commonly required for the role
  • Experience in a Technology M&A team, or prior exposure to LegalTech, Compliance Software, or RegTech markets is beneficial, but not essential
  • Fluency in a second European language (e.g., German, French, Dutch, or Spanish) is beneficial, but not essential

How we perform as a firm follows directly from the calibre of the people in it. We recruit and retain high performers from a wide range of backgrounds and perspectives, and we treat this as a commercial advantage: it produces sharper problem-solving and a better understanding of the clients we advise.
