The Opportunity: We are partnering with a high-growth, private equity–backed AI business as it prepares for a transformative IPO. This is a pivotal hire within the Group Finance team, offering the opportunity to shape and lead SEC reporting in a fast-paced, evolving environment. As Group SEC Reporting Manager, you will play a critical role in delivering high-quality external reporting, ensuring compliance with SEC regulations, and supporting the business throughout its IPO journey and beyond.
Key Responsibilities
- Lead the preparation and review of SEC filings, including:
- Lead the end-to-end preparation, coordination, and review of the annual Form 10-K, including drafting and consolidating all key sections
- Own the quarterly Form 10-Q reporting process, ensuring timely and accurate preparation of interim financial statements and disclosures.
- Other filings (e.g., 8-K, S-1 as part of IPO readiness)
- Support the IPO process, including drafting sections of the prospectus and coordinating with advisors (legal, auditors, bankers)
- Manage the external reporting calendar, ensuring timely and accurate submissions
- Interpret and apply US GAAP and SEC regulations, providing technical guidance to the wider finance team
- Own the preparation of technical accounting memos and disclosures
- Partner with the Group Financial Controller and senior leadership on financial reporting strategy
- Liaise with external auditors and advisors on accounting and disclosure matters
- Drive improvements in reporting processes, controls, and documentation
- Support the implementation of SOX controls and public company readiness initiatives
- Stay up to date with regulatory developments impacting SEC reporting
Key Requirements
- Strong experience in SEC reporting (10-K, 10-Q essential)
- Background in a listed environment or transaction/IPO readiness highly desirable
- Technical expertise in US GAAP (IFRS exposure advantageous)
- Experience working in a Private Equity–backed or fast-growth environment preferred
- Strong stakeholder management and ability to work with senior leadership
- High attention to detail, with the ability to manage multiple deadlines under pressure
