The Opportunity

We are looking for an Assistant Vice President to join our Entity Formation and Management Team as part of our financial services business in London. As part of the global expansion of the Maples Group’s financial services offering, our London office opened its doors in 2015. Located in Bishopsgate, a commitment to service excellence and investment in our people quickly established London as a key part on Maples’ European footprint, which also includes offices in Ireland, Luxembourg, Netherlands and Jersey.

Reporting to the Vice President, Entity Formation and Management, the successful candidate will be an experienced professional with strong technical knowledge of UK corporate secretarial requirements, excellent organisational skills and a client-focused approach.

Key Duties

  • Managing a portfolio of UK client entities, ensuring compliance with statutory, regulatory and transactional obligations
  • Acting as a primary point of contact for client companies, directors, legal advisers, auditors and other professional service providers
  • Delivering a high standard of client service and supporting the maintenance of strong client relationships
  • Liaising with lawyers, investment managers, arrangers, lenders, external directors and other stakeholders on company secretarial matters
  • Assisting with onboarding new clients and entities, including completion of KYC and related due diligence requirements
  • Maintaining statutory registers and corporate records
  • Coordinating Companies House filings, including confirmation statements, changes to directors, PSC filings, share capital changes and other statutory filings
  • Assisting clients with their Companies House identity verification requirements
  • Monitoring developments in UK company law, Companies House requirements and corporate governance practices
  • Assisting the Vice President with the day-to-day management of the entity formation and management team
  • Reviewing the work of junior team members and providing guidance, training and mentorship
  • Supporting internal projects, including system enhancements, regulatory initiatives, policy updates and process improvements
  • Monitoring portfolio compliance metrics, billing and accounts receivable to ensure matters are maintained in accordance with internal requirements
  • Ensuring adherence to internal policies, procedures, risk management and regulatory obligations
  • Supporting business development initiatives and relationship management activities
  • Developing relationships with law firms, accounting firms, private equity sponsors, financial institutions and other intermediaries
  • Representing the Maples Group at industry events, networking opportunities and client meetings

Requirements

In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following:

  • A bachelor's degree or equivalent professional qualification
  • At least 5 years' experience in a corporate secretarial or corporate governance role, ideally within a UK corporate services provider
  • Experience managing governance processes for UK corporate entities
  • Excellent drafting skills, resolutions and governance documentation
  • Strong organisational skills and the ability to manage multiple competing priorities
  • Excellent written and verbal communication skills
  • A proactive and client-focused approach with strong attention to detail
  • Experience mentoring or supervising junior team members
  • CGIUKI (formerly ICSA) qualification, or progress towards qualification, is desirable
