We are seeking a London-based Assistant Company Secretary (ACS) to join our Group Company Secretary team. This is an exceptionally busy and high‑profile function at the forefront of our internal corporate governance for our group entities across the globe. The role is central to maintaining governance discipline across our global group entities and to enabling effective decision‑making at Board and Committee level. This is a permanent hybrid role based in our London office.

Reporting to the Group Company Secretary, you will help support all aspects of corporate governance for the Maples Group. You will support Boards and Committees, draft minutes and resolutions, maintain accurate corporate records and trackers, coordinate cross‑jurisdictional requirements and drive timely, high‑quality governance outputs. The environment is fast‑paced, delivery‑focused and collaborative, with significant exposure to senior stakeholders and to the breadth of our global businesses.

Key Accountabilities:
  • You will schedule and coordinate Board and Committee meetings in accordance with the annual governance calendar, assemble and distribute Board packs, and ensure that materials are complete, accurate and delivered on time.
  • You will draft high‑quality minutes and written resolutions, track actions to closure, and maintain the official minute books and central repositories for minutes and resolutions for all Maples Group entities.
  • You will maintain central diaries for Board meetings and AGMs, update internal trackers and registers and curate a central database of core entity information.
  • You will help manage authorised signatory lists and banking signatory resolutions, ensuring changes are accurately recorded and communicated.
  • You will coordinate and, where required, attend meetings, prepare agendas and briefing notes, and support Chair and executive reporting timetables.
  • You will support the Group Company Secretary with broader governance initiatives, including consistency of templates and standards, intranet updates and the timely provision of corporate information for internal stakeholders responding to client due diligence requests, and will perform such additional tasks and functions as may be required from time to time.
  • You will contribute to continuous improvement by standardising processes, enhancing document quality and introducing pragmatic controls that strengthen governance resilience and auditability across jurisdictions.
  • You will work closely with colleagues in Finance, Legal, HR, Compliance and the business to ensure governance requirements are well understood, integrated and delivered without disruption.
Stakeholder Interfaces:
  • You will interact frequently with Board and Committee members, senior executives, entity directors and functional leads.
  • You will ensure clear, timely and professional communication, always exercising sound judgement and discretion.
Success Profile:

Success in this role is measured by the punctual delivery of meeting cycles and materials, the clarity and completeness of minutes and resolutions, the accuracy of entity records and signatory registers, and the closure of actions in accordance with agreed timelines. You will demonstrate ownership, maintain a calm and organised approach under pressure and consistently raise the standard of our governance outputs.

What You Bring:
  • 3 – 5 years of experience in an Assistant Company Secretary (or similar) role
  • Experience in minute and resolution drafting
  • Experience in Board pack preparation
  • Experience in Board meeting attendance
  • Attention to detail with a high level of accuracy
  • Fluency in written and spoken English
  • A team player, capable of working together towards a common goal
  • Self‑motivated and able to deliver to tight deadlines
  • Experience of the full Microsoft Suite
  • Excellent experience in Outlook and calendar scheduling
  • Good communication skills, both written and verbal
  • Good interpersonal skills
  • Ideally, experience with Diligent software
