A leading insurance company is looking to hire an Interim Assistant Company Secretary. This role will assist the Head of Legal with company secretarial and corporate governance matters.
Role responsibilities:
- Organising and maintaining agendas and for collecting, organising, and distributing meeting papers. This includes the production of minutes and action points.
- All company secretarial work (including company secretarial services to clients) and other duties including FCA/PRA and other relevant filings.
- Assist with the production and maintenance of a library of appropriate policies and procedures to achieve compliance with relevant regulatory and legal requirements and monitor adherence to the procedures.
Requirements:
- Qualified Company Secretary/Governance Professional or England & Wales qualified Solicitor.
- Experienced in dealing with company secretarial procedures and statutory requirements for all standard statutory returns and filings, amendments to articles of association, share capital reorganisations, and share issues and transfers.
- Extensive experience in minute taking and ability to produce minutes in a technically challenging environment.
- Knowledge of Diligent Entities, Diligent Boardbooks.
- Experience in reviewing contracts.
