Assistant Company Secretary (Interim FTC - 6 Months)

Location: London (Hybrid - 2 days per week in the office)

Contract: Full-time, Fixed-Term Contract (6 months)

The Opportunity

Our client is a globally recognised technology and digital transformation business that is looking to hire an experienced Assistant Company Secretary to join their corporate governance team on an initial six-month contract. This role has the potential to covert to permanent at the end of the contractual period.

Supporting the Deputy Company Secretary, you will play a key role in maintaining governance standards across an international group structure. This is a hands-on position suited to someone who can quickly integrate into a fast-paced environment, work autonomously, and build strong relationships with senior stakeholders.

Key Responsibilities

  • Maintain statutory registers, corporate records, and Companies House filings.
  • Support board and committee activities, including meeting coordination, agenda preparation, board packs, minute-taking, and action tracking.
  • Assist with the administration of UK and international group entities, including entity management systems and corporate structure records.
  • Monitor compliance deadlines and support ongoing regulatory and governance requirements.
  • Manage governance documentation, ensuring accuracy and accessibility.
  • Support corporate transactions and entity changes, including director appointments, resignations, share allotments, and restructuring activity.
  • Liaise with internal stakeholders and external advisers including legal counsel, auditors, and registrars.
  • Assist with share plan and equity incentive administration.
  • Support wider governance projects and contribute to process improvements across the Company Secretariat function.

Experience Required

  • Previous experience within a Company Secretariat, Governance, or Legal team.
  • Strong understanding of UK Companies Act requirements and corporate governance best practice.
  • Experience supporting boards and committees in a corporate environment.
  • Ability to engage confidently with senior stakeholders.
  • Excellent organisational skills and attention to detail.
  • Strong communication skills, both written and verbal.
  • Comfortable working independently and managing competing priorities.
  • Experience using entity management systems such as Diligent Entities would be advantageous.
  • Exposure to international governance frameworks and listed company environments is beneficial.
  • Experience supporting employee share plans is desirable.

Qualifications

A Chartered Governance qualification (CGIUKI), legal qualification, qualification in progress, or equivalent relevant experience would be advantageous.
