We are seeking a high-calibre Assistant Company Secretary to support the delivery of best-in-class corporate governance across a complex group structure.
Reporting to the Group Legal Director & Company Secretary, this is a high-visibility role with significant exposure to senior stakeholders, including Board members and executives. You will play a key role in managing governance processes, ensuring statutory compliance, and supporting a wide range of corporate and legal activities.
Key Responsibilities
- Governance & Board Support
- Manage the full cycle of Board and Committee meetings, including agenda planning, paper collation, and action tracking
- Prepare and distribute Board packs and ensure smooth meeting operations
- Attend meetings, take minutes, and support follow-up actions
- Act as Company Secretary to Boards and Committees where required
- Stakeholder Coordination
- Work closely with senior leadership, including Board members and the Executive team
- Manage governance calendars and stakeholder engagement
- Statutory & Compliance
- Maintain statutory registers and ensure timely Companies House filings
- Ensure governance processes align with legal and regulatory frameworks
- Support compliance with corporate governance standards
- Corporate Governance & Projects
- Assist in the implementation and review of governance frameworks and policies
- Support director appointments, inductions, and training programmes
- Assist with Board evaluations and annual declarations
- Corporate Transactions & Legal Support
- Support entity management, including incorporations, restructures, and dissolutions
- Assist with due diligence, KYC requests, and corporate transactions
- Provide support on routine legal matters, including NDAs and documentation
- Risk & Insurance
- Assist with managing corporate insurance processes and risk-related matters
What We’re Looking For
Essential
- Proven experience in an Assistant Company Secretary or governance-focused role
- Strong knowledge of UK company law and corporate governance requirements
- Experience supporting Boards and senior stakeholders
- Excellent organisational and planning skills
- Strong minute-taking and document drafting capability
- High attention to detail, discretion, and professionalism
Desirable
- CGI qualification (or working towards)
- Experience using Board or entity management systems (e.g. Diligent)
- Background in real estate, property investment, or fund management
