An opportunity has arisen for a Legal and Transactions Officer to join a growing transaction management team working on complex syndicated loans and related products. The role sits at the heart of the deal process, working closely with front office, risk, compliance, operations, treasury and finance to deliver smooth, well-controlled execution of transactions.
What you’ll be doing:
- Managing client and transaction documentation from initial invitation through to final execution, ensuring everything is accurately recorded and well organised.
- Reviewing, drafting and negotiating a range of ancillary documents, including term sheets, NDAs, reliance letters, legal opinions and process agent letters, in line with internal approvals.
- Coordinating the end-to-end closing process for primary and secondary loan trades, liaising with internal stakeholders, external counsel and agents to achieve timely settlement on and off electronic trading platforms.
- Preparing, negotiating and executing LMA, LSTA and non-standard documentation, including sub-participation and other secondary trading documents, as well as intra-group arrangements.
- Owning and maintaining documentation checklists so that all required agreements, information and confirmations are in place before closing.
- Managing operational aspects of transactions such as funding flows, collection of contract data, administrative and call-back information, and transfer fee arrangements on settlement date.
- Monitoring trade pipelines, identifying bottlenecks and proactively driving aged or escalated trades to completion, working to internal and market closing standards.
- Performing first-line controls on legal and transaction tasks and maintaining metrics to support robust tracking, reporting and continuous improvement.
- Contributing to technology and process improvement initiatives that enhance the efficiency and control of legal and transaction workflows.
- Supporting the wider risk and compliance framework, including adherence to policies on financial crime, conduct, data protection and market abuse, and assisting with training and guidance materials.
What you’ll bring:
- Experience as a paralegal, loan closer or similar role in the syndicated loan market.
- Solid understanding of bank loans, treasury products and standard market documentation (such as LMA, LSTA, ISDA), together with awareness of relevant regulatory requirements.
- Excellent written and verbal communication skills, with the confidence to interact with front office, support functions and external counterparties.
- Strong organisational skills and the ability to manage multiple matters, deadlines and stakeholders in a fast-paced, multicultural environment.
- High attention to detail and a control-focused mindset, combined with the resilience to work under time pressure.
- Proficiency in MS Office (Word, PowerPoint, Excel); experience with electronic loan trading platforms (for example Clearpar) is a strong advantage.
- A self-motivated, pro-active and team-oriented attitude, with a genuine interest in problem-solving and continuous improvement.
