We are seeking a qualified company secretary with governance experience to join the Group Secretariat, supporting the Head of Board Governance and Heritage in delivering board, committee, and executive governance.

Key Responsibilities

  • Own the end‑to‑end lifecycle of secretarial duties for Group and subsidiary boards and committees, including meetings, agendas, papers and minutes.
  • Provide governance guidance and support to board chairs, committee chairs and executive management.
  • Support the wider corporate governance strategy, delivery and risk management across the Group Secretariat.
  • Shape the development of key group activities such as the annual Board Performance Review, analysing results and reporting to the board.
  • Lead the review, revision and finalisation of governance documents, including Terms of Reference and disclosures in the Annual Report.
  • Contribute core knowledge of corporate governance and maintain a forward‑looking view on regulatory developments.
  • Progress development and implementation of operational process improvements, using technology to drive efficiencies.
  • Co‑operate with the Legal & Secretariat function and support other team heads on special projects.
  • Develop and mentor junior team members, building capability and fostering continuous learning.

Qualifications & Experience

  • CIoG or CPE qualified with significant governance experience within a PLC, preferably financial services.
  • Extensive experience acting as a board or committee secretary.
  • Strong technical knowledge of the Companies Act 2006, UK Listing Rules, Disclosure and Transparency Rules and the UK Corporate Governance Code.
  • Outstanding written communication skills, strong attention to detail.
  • Excellent interpersonal skills with ability to influence senior stakeholders and provide constructive challenge.
  • Outstanding organisational, influencing and communication skills; capacity to work quickly and accurately.
  • Sound understanding of the legal and regulatory environment and ability to provide pragmatic advice to board members and senior executives.
