About the Role

The Director, Transaction Structuring is a newly created, highly specialized role within Liquidity's Credit Investments team designed for an elite dealmaker who thrives in high-stakes negotiations and has a proven track record of closing complex, high-value transactions. This is not a traditional investment role - you won't be sourcing deals. Instead, you'll be the firm's secret weapon: parachuting into live opportunities at the critical negotiation and closing phase to secure the best possible terms and convert competitive situations into wins. You will work hand-in-hand with our regional investment teams (US, Europe, MENA, APAC), credit analysts, and legal counsel to architect deal structures, negotiate pricing and covenants, overcome late-stage objections, and guide transactions across the finish line. This role requires someone who is exceptionally intelligent, charismatic, commercially savvy, and has mastered the art of persuasion in financial services environments. This is a performance-driven role with significant upside: You'll earn a percentage of deal fees and upside on successfully closed transactions, making it one of the most attractive compensation packages at Liquidity.

Responsibilities

  • Lead final-stage negotiations on high-value credit transactions ($10M–$150M+), optimizing terms for pricing, covenants, security packages, and conditions precedent.
  • Craft creative deal structures that balance Liquidity's risk appetite with borrower requirements, leveraging deep knowledge of credit instruments, intercreditor agreements, and financial covenants.
  • Navigate multi-party negotiations involving sponsors, co-lenders, legal counsel, and borrower management teams to drive consensus and close deals.
  • Diagnose and resolve late-stage deal impediments (pricing concerns, covenant pushback, competitive pressure).
  • Develop and deploy tailored closing strategies based on borrower psychology, competitive dynamics and deal urgency.
  • Partner with Credit and Legal teams to preemptively address diligence red flags and structure risk mitigation solutions.
  • Serve as the voice of Liquidity in high-stakes final deal discussion meetings, articulating our differentiated value proposition (flexibility, AI-powered underwriting, partnership approach).
  • Coordinate seamlessly across Investments, Credit and Legal teams to ensure deal documentation, approvals, and funding timelines are met.
  • Drive internal alignment on deal strategy, risk tolerance, and negotiation boundaries through clear communication with senior leadership.
  • Build deep, trust-based relationships with borrowers, sponsors, and intermediaries during the closing phase to secure repeat business and referrals.
  • Analyze closed vs. lost deals to identify negotiation patterns, competitive weaknesses, and areas for process improvement.
  • Mentor investment team members on negotiation tactics, objection handling, and closing techniques.

Qualifications

  • Minimum 8 years in financial services with demonstrated track record of closing high-value, complex transactions (private credit, investment banking, private equity, structured finance, commercial lending, or corporate development).
  • Proven success negotiating and closing deals worth $10M+, with measurable impact on win rates and deal economics.
  • Experience working in competitive deal environments (club deals, syndications) where negotiation skill directly influenced outcomes.
  • World-class negotiator who can read the room, build rapport, and steer conversations toward mutually beneficial outcomes without compromising firm interests.
  • Exceptional executive presence: polished, articulate, persuasive, and credible in front of C-suite borrowers, sponsors and investors.
  • Superior written and verbal communication—able to craft compelling proposals, term sheets, and closing memos that win internal and external buy-in.
  • Strong command of financial modeling, credit analysis, and valuation.
  • Fluency in credit structures, covenants, security agreements, intercreditor arrangements, and term sheet mechanics.
  • Familiarity with loan documentation, security agreements, guarantees, and common legal negotiation points (though not required to be a lawyer).
  • Ability to quickly synthesize credit memos, due diligence reports, and risk analyses to inform negotiation strategy.
  • Highly intelligent with sharp analytical thinking and pattern recognition—you see around corners and anticipate objections before they arise.
  • Natural relationship builder who earns trust quickly and navigates high-pressure situations with grace.
  • Bachelor's degree in Finance, Economics, Business, or related field from a top-tier university; MBA or advanced degree preferred.

Preferred Skills

  • Experience in private credit, venture debt, growth equity, or sponsor-backed lending.
  • Track record in fintech, SaaS, or high-growth company lending environments.
  • Previous role as investment banker (M&A, leveraged finance), PE dealmaker, or structured credit professional.
  • Demonstrated success in cross-border transactions and navigating international legal/regulatory frameworks.
