The predicted salary is between 100000 - 160000 £ per year.
You will be joining the legal team reporting into the Chief Compliance Officer with very close collaboration with the finance team and the corporate development team.
You will advise on U.S. corporate and securities matters, including public company regulations, corporate secretary and governance matters, subsidiary and legal entity management, M&A, corporate finance, and partnerships. This role requires a highly proficient knowledge of SEC and Nasdaq rules, as well as state corporate law. This role also requires experience with M&A, corporate finance and will support large partnerships.
The position requires a high degree of self-sufficiency, independent judgment, and a results-oriented approach. You will operate as part of a supportive team focused on cross-functional collaboration within Life360 to advise on public company matters as well as M&A and corporate finance. You must have the ability to thrive in a collaborative high-pressure environment and effectively partner across the company including with finance, investor relations and corporate communications teams.
The US-based salary range for this position is $147k-237k. We take into consideration an individual’s background and experience in determining final salary - therefore, base pay offered may vary considerably depending on geographic location, job-related knowledge, skills, and experience. The compensation package includes a wide range of medical, dental, vision, financial, and other benefits, as well as equity.
What You’ll Do
- Act as the expert on SEC and Nasdaq rules and filings, including 8Ks, Form 4s, the Proxy, 10-Qs, 10-K
- Prepare board materials including, slide decks, resolutions, UWCs, and minutes
- Work with Australian counsel for ASX requirements
- Work with the corporate development team to support M&A activity including NDAs, LOIs, Definitive Agreements and all supporting agreements, and closing activities
- Work with the finance team to support corporate finance actions
What We’re Looking For
- At least 8 years of experience working on public company matters and transactions
- Deep understanding of SEC reporting requirements and federal securities laws
- Advanced knowledge of proxy statement preparation and shareholder meeting logistics
- Strong understanding of stock exchange listing requirements
- Strong analytical capability with attention to detail
- Excellent writing, communication, and presentation skills
- Ability to manage multiple priorities, meet strict deadlines in a fast-paced environment and ability to coordinate cross-functional initiatives
- JD and admission to at least one US state bar
- Combination of prior law firm and in-house corporate law experience a plus
- Familiarity with ASX listing requirements for a foreign-exempt filer a plus
- Experience quickly issue-spotting, analyzing, and clearly communicating advice on complex legal issues
- Strong collaboration skills to successfully work across business functions
- Self-starter who is curious, embraces technology and thrives in a dynamic environment
