About the Role

The role will report into the Deputy Company Secretary - UK & Europe and will support the Deputy Company Secretary in delivering high-quality company secretarial and governance services across the wider Liberty Mutual Insurance Group entities within the UK, Europe & MENA, including Legal Entity Boards.

The role will manage a defined portfolio of committee meetings end-to-end, act as a first point of contact for governance queries and support KYC requests.

The individual will also assist with the development of governance processes, templates and best practice materials, and work with the team to explore and enhance the use of AI to drive greater efficiency across governance activities.

About the Department & Team

The Company Secretarial plays a central role in the governance and administration of the various companies within LSM in multiple jurisdictions as well as for other companies within the wider Liberty Mutual Insurance Group.

We partner with the business and our boards and key stakeholders to deliver exceptional service and enable oversight and decision making.

Key Responsibilities

  • Support the Deputy Company Secretary - UK & Europe in delivering high-quality company secretarial and governance services across the wider Liberty Mutual Insurance Group entities within the UK, Europe & MENA, including support for Legal Entity Boards.
  • Assist the Deputy Company Secretary with the co-ordination and delivery of board and executive-level meetings and corporate governance arrangements for UK, including Lloyd’s Managing Agent, Luxembourg-based risk carriers and other subsidiary entities within the team’s remit.
  • Take responsibility for a defined portfolio of committee meetings, providing end-to-end secretariat and governance support, including agenda planning, meeting scheduling, logistical arrangements, review and collation of papers, distribution of board/committee packs, minute-taking and tracking of actions.
  • Ensure board and committee meetings operate effectively and consistently within their terms of reference, with appropriate escalation of material matters through the governance structure.
  • Support the continued enhancement of board and committee papers to help ensure they drive effective debate, challenge, decision-making and outcomes.
  • Liaise confidently and professionally with executive and non-executive directors, senior stakeholders, internal teams and external advisers.
  • Draft clear, accurate and timely minutes, action logs and governance records for meetings within the role’s remit.
  • Support governance activities relating to board composition and effectiveness, including director skills reviews, induction and training, board effectiveness reviews and related governance documentation.
  • Ensuring statutory obligations are completed for all entities in your remit and those within the remit of the wider team.
  • Contribute to the development, production and maintenance of governance processes, templates, guidance notes and best practice materials to support consistency and efficiency across the team.
  • Work collaboratively with the team to identify opportunities to enhance the use of AI and other technology to improve the efficiency, accuracy and effectiveness of company secretarial and governance processes.
  • Support with complex corporate transactions for entities within the remit of the team, as required.
  • Ensure statutory obligations are completed for entities within the role’s remit and provide support across the wider team’s entity portfolio where required.
  • Support the maintenance of Diligent Entities to help ensure it remains the single source of truth for legal entity information within the remit of the team.
  • Support the preparation and submission of statutory filings with UK Companies House and overseas company registrars, including the updating of branch registers.
  • Assist with due diligence and KYC requests, working with internal stakeholders and external parties to ensure responses are accurate, timely and appropriately documented.
  • Draft and support the preparation of governance documents, including governance reports, terms of reference, Section 172 Statements, Wates Principles reporting, procedure documents and other governance materials.
  • Undertake other ad-hoc duties as required.

Skills and Experience

  • Experience taking minutes for senior level boards and committees and producing actionable minutes quickly and accurately.
  • Clear, concise communicator with strong relationship / inter-personal skills.
  • Confidence, maturity and gravitas to deal effectively at senior level.
  • Ability to build trust and effectively network with stakeholders.
  • Integrity and high ethical standards, acting with discretion at all times.
  • Strong organisation and project management skills; ability to prioritise, manage multiple workstreams and meeting competing deadlines.
  • Able to work proactively under own initiative, prioritise, handle time pressure and manage multiple projects at the same time with flexibility to adapt to shifting expectations.
  • Strong understanding of subsidiary governance, with a particular focus on subsidiary interaction with parent entity/business unit.
  • Experience with Diligent Boards and Diligent Entities (or similar board/secretariat platforms) desirable.
  • Previous experience in company secretarial or corporate governance roles, ideally within Financial Services, an insurer/reinsurer, Lloyd’s managing agent or listed environment is desirable.
