We are exclusively partnering with a high-growth, internationally operating technology business to appoint a General Counsel & Company Secretary into a pivotal executive leadership role. This is a rare opportunity to join a listed (PLC) organisation at the forefront of innovation, where you will operate at Board and Executive Committee level, shaping legal strategy and governance across a complex, multi-jurisdictional environment.
The Opportunity
As General Counsel & Company Secretary, you will act as the organisation’s most senior legal advisor and governance lead. You will play a central role in supporting strategic decision-making, enabling growth, and ensuring the business maintains the highest standards expected of a publicly listed company. This role combines strategic legal leadership with best‑in‑class corporate governance, offering significant visibility and influence across the business.
Key Responsibilities
- Provide strategic legal advice to the Board, CEO and Executive Committee on all key legal, regulatory and commercial matters
- Lead on M&A, joint ventures, and strategic transactions, supporting business growth and expansion
- Oversee global legal operations across the UK, Europe, US and APAC, ensuring a consistent and commercially aligned approach to risk
- Manage complex commercial contracts, partnerships and licensing arrangements
- Lead litigation and dispute strategy, working closely with external counsel
- Drive compliance frameworks, including GDPR, regulatory and governance obligations
- Develop and implement intellectual property strategy in collaboration with R&D teams
- Own relationships with external legal advisers and manage the legal budget
From a governance and company secretarial perspective, you will:
- Act as a trusted advisor to the Board on UK Corporate Governance Code and Listing Rules compliance
- Lead all company secretarial activities, including Board and Committee processes, AGM delivery and regulatory filings
- Oversee market disclosures, ensuring compliance with MAR and DTR requirements
- Drive ESG and governance frameworks, aligning with evolving regulatory expectations
- Lead risk management, including ownership of the Group risk register and reporting to the Board and Audit Committee
- Oversee compliance programmes, including whistleblowing, anti-bribery and internal investigations
About You
- Proven experience operating in a senior level in‑house legal role, UK qualified Solicitor (or equivalent qualification) within a publicly listed (PLC) environment (essential)
- Strong expertise in corporate governance, listing rules and board level advisory
- A track record of leading complex, cross‑border legal matters and transactions
- Experience working closely with Boards and Executive Committees
- Ideally have a broad exposure to a range of commercial agreements, intellectual property and data privacy
- Commercial acumen, with the ability to balance legal risk and business objectives
- Excellent leadership and stakeholder management skills
