We are working with an established international bank that is seeking an experienced Assistant Company Secretary to join its Legal & Governance function on a 12-month fixed term contract. This role will support the delivery of high-quality corporate governance and company secretarial services to senior management, executive committees and the Board. The successful candidate will play an important role in ensuring strong governance standards and regulatory compliance within a regulated banking environment.
Key Responsibilities
- Provide company secretarial and governance support to the Executive Management Committee and senior management committees
- Assist with the organisation and coordination of Board and Committee meetings
- Prepare meeting agendas, board packs and supporting documentation
- Draft accurate minutes and action trackers following governance meetings
- Maintain statutory registers and corporate records
- Manage Companies House filings and confirmation statements
- Support the preparation and review of governance documentation and regulatory disclosures
- Assist with governance frameworks including Management Responsibility Maps and risk governance documentation
- Assist with director onboarding, training programmes and governance processes
- Maintain governance structures, board directories and corporate documentation
- Support shareholder engagement activities and dividend processes
- Work closely with legal, risk, compliance and senior stakeholders across the organisation
- Support governance and administration of the organisation’s associated charitable foundation, including coordinating Trustee meetings and preparing agendas and minutes
- Maintain charity governance records and assist with regulatory filings where required
- Assist with the administration of grant applications and related documentation
Requirements
- Qualified Company Secretary (CGI/ICSA) or qualified lawyer, or equivalent governance experience
- 5+ years’ experience within company secretarial or corporate governance roles
- Experience working in banking or another regulated financial services environment
- Strong experience supporting Board and Committee governance processes
- Excellent written communication skills with strong minute-taking ability
- High levels of discretion and professionalism when working with senior stakeholders
- Experience using board governance systems such as BoardVantage, Board Intelligence or similar would be advantageous
