Our client is one of the world’s largest global banking and financial services organisations, with a significant presence across Europe, Asia and the Americas. Its Equity Capital Markets (ECM) team advises corporate and financial sponsor clients on raising capital through equity issuances, including IPOs, rights issues, placings and equity-linked transactions such as convertibles. The team plays a key role in structuring, underwriting and executing transactions across multiple jurisdictions, working closely with investment banking, syndicate and advisory functions.
You will be joining a lean, senior ECM legal team made up of highly experienced lawyers (typically 15–20+ PQE).
The ECM legal team is lean – and facing a period of being under resourced, which has potential to impact their ability to support ECM transactions coming down the track. They’re a senior team (everyone over 15 PQE) and work pretty autonomously.
This is a senior in-house ECM legal role supporting a high-performing but lean team on a broad range of equity and equity-linked transactions. The team act as trusted advisors to business stakeholders, contributing across the full transaction lifecycle and helping manage legal and reputational risk in a fast-paced environment.
Key responsibilities will include:
- Advising the business on a broad spectrum of ECM and equity-linked transactions, including IPOs, secondary offerings and convertibles
- Supporting deal execution from inception through to closing, partnering closely with investment banking, syndicate and external counsel
- Providing guidance on transaction structuring, execution strategy and risk allocation
- Interpreting and advising on applicable securities laws, listing rules and regulatory frameworks impacting ECM activity
- Identifying and managing legal, regulatory and reputational risks while delivering pragmatic, commercially focused advice
- Collaborating with internal stakeholders, including senior management, on strategic decision-making throughout transactions
What skills do they need?
- A senior ECM lawyer with significant post-qualification experience, ideally with a strong combination of private practice and in-house exposure within a bank
- Deep expertise in equity capital markets transactions and a strong understanding of the regulatory landscape governing securities offerings
- Someone comfortable operating at a senior level with minimal supervision, acting as a trusted advisor to stakeholders and contributing strategic insight in a lean team environment
Working Pattern: Full time; ideally 3 days per week in the London office
