Our Client is a digital infrastructure company operating across data centre development, AI and high performance computing hardware, and capital markets. The business is scaling rapidly, with increasing institutional investment, complex group structures and a growing international footprint, which places greater emphasis on robust governance and company secretarial counsel support.

You are supporting on a full time interim backfill to ensure continuity of governance, statutory compliance and board operations during a period of growth.

What will the role involve? You will provide hands on Company secretarial and governance support across the group, operating comfortably in both established and scale up environments. The role will include a mix of core governance delivery, policy drafting and investor facing work.

  • Running board and shareholder meetings, including preparation of agendas, packs and high quality meeting minutes
  • Ownership of voting processes and resolutions, ensuring decisions are accurately documented and implemented
  • Managing corporate filings and maintaining statutory books and records
  • Reviewing, drafting and updating corporate governance policies to ensure alignment with best practice
  • Designing and implementing governance frameworks for scale up entities, including meeting structures, record keeping and policy suites
  • Drafting and embedding a wide range of policies, from core codes of conduct and financial policies to more specialised operational and ESG related policies
  • Preparing supplier engagement policies to support efficient and compliant supplier negotiations
  • Leading investor reporting, including preparation of formal disclosures and ongoing updates for investors

What skills do they need? You are a senior company secretarial or governance lawyer with strong experience in board and shareholder governance, corporate filings and policy drafting. You are comfortable building governance frameworks from scratch and supporting fast growth businesses, with experience working with senior stakeholders and investors across both private and public company style environments.
