The Opportunity
We are seeking an ambitious and commercially astute Corporate Solicitor to join our growing Corporate team in Leicester.
While we anticipate this role will suit an Associate with around 0 to 3 years' PQE, we welcome applications from Candidates with experience outside this range who can demonstrate the relevant skills and expertise.
This is an excellent opportunity to work with a diverse and dynamic client base, including owner-managed businesses, start-ups, established SMEs, investors and larger corporate organisations.
You will advise on a broad range of corporate matters, including mergers and acquisitions, corporate restructures, shareholder arrangements, governance issues and general company law matters.
Working alongside experienced and supportive colleagues, you will play an important role in the continued growth and success of the Corporate team while building and maintaining strong relationships with clients, professional contacts and referrers.
The Role
This position offers exposure to a varied mix of complex and high-value transactions, providing an excellent platform for both professional development and long-term career progression.
As a Corporate Solicitor, your responsibilities will include
- Advising clients on mergers, acquisitions and disposals of companies, shares and business assets.
- Managing corporate transactions from initial instruction through to successful completion.
- Conducting legal due diligence exercises and preparing comprehensive due diligence reports.
- Drafting, reviewing and negotiating share purchase agreements, asset purchase agreements and related transactional documentation.
- Assisting clients with transaction structuring and strategic planning.
- Advising directors, shareholders and business owners on corporate governance matters and best practice.
- Providing practical and commercially focused company law advice.
- Drafting and reviewing shareholder agreements, articles of association, partnership agreements and other constitutional documents.
- Advising on directors' duties, responsibilities and risk management.
- Supporting clients with corporate restructures, reorganisations and succession planning projects.
About You
We are looking for a motivated and personable Solicitor who combines strong technical ability with commercial awareness and a genuine interest in business.
