Role Overview

We are recruiting for a Corporate Secretarial Officer to join our high calibre team responsible for delivering an extensive range of corporate secretarial and governance services for the UK entities of our Global clients.

We are looking for candidates who are structured and process driven, to deliver the annual compliance service and support routine corporate changes for our corporate secretarial clients.

This role would suit a candidate with attention to detail, structured approach to completing projects, aptitude to implement and follow processes and an understanding of regulatory compliance.

In return, we’ll provide the tools and training to support a wide range of internal and external stakeholders and maximise your potential.

Main responsibilities

  • Managing the compliance diary for a large portfolio of UK entities, ensuring all statutory filings are completed and the corporate records are kept up to date.

Day-to-day duties will include

  • Preparation of annual confirmation statements and liaising with the client to arrange review and filing upon approval.
  • Updates to the statutory registers upon instruction of the client.
  • Informing clients of the upcoming statutory deadlines (e. g. Annual Accounts due date).
  • Drafting Director resolutions to approve the annual accounts.
  • Maintenance of electronic corporate records using Diligent Entities.
  • Drafting of relevant approvals for routine corporate changes (e. g Director appointment, change of registered office address) and arranging for the relevant filings to made at Companies House.
  • Formation/Incorporation of UK entities and drafting of the relevant post completion documentation.
  • Contributing to revenue through ensuring that invoices for work completed are issued accurately and in a timely manner.
  • Contribute fully to the development of this critical Law Deb business, take ownership of areas of responsibility, ensure administration processes are efficient and effective (recommend areas of improvement where applicable), and ensure thorough record-keeping and maintenance of relevant databases.
  • Develop and maintain and excellent relationships with clients, lawyers, global project managers and other providers of new business.

  • Strong time management, organisational and planning skills - ability to prioritise work, multi-task and meet deadlines
  • High level of attention to detail, ensuring accurate and timely completion of critical tasks (often with a compliance focus)
  • Aptitude for implementing efficient processes
  • Good rapport building and communication skills, both written and verbal.

Confident communicating and working effectively with multiple stakeholders (clients and colleagues) at all levels.
