Role Overview
This role will be responsible for delivering an extensive range of corporate secretarial and governance services to a portfolio of clients, providing high quality advice and work with others to deliver an excellent client experience and ensure clients remain up to date with their statutory obligations.
Job Role & Responsibilities
- Deliver a range of high-quality company secretarial services to a range of clients in line with your billable hours and recovery rate targets.
- Follow operational processes which ensure financial hygiene (time recording, in/out of scope work, billing etc), effective document management and support data driven decision making (e.g., up to date resourcing plan, skill matrix, feedback and performance management etc).
- Develop and follow personal development plan to assist with the increase of services able to provide and progression through the UK CSS career path.
- Advising a portfolio of clients on compliance matters, including annual statutory requirements, routine company changes and share capital changes.
- Corresponding directly with clients and third parties.
- Drafting board minutes and shareholder resolutions to make relevant company changes.
- Maintenance of electronic corporate records using Diligent Entities and undertaking any statutory filings with the Registrar of Companies.
- Provide feedback on work produced and answer queries by more junior members of the team to ensure that quality service delivery to clients is maintained across UK CSS.
- Board paper collation, chasing actions, attendance at meetings and drafting minutes.
- Assisting with the non-financial disclosures of Annual Report, including the preparation of the annual general meeting and general meetings including the preparation of all relevant documentation.
- Assisting with benchmarking and research.
- Assisting with advice on corporate governance best practice and reviewing relevant documentation.
- Assisting with advice regarding the Companies Act, Listing and Disclosure Rules, Market Abuse Regulation and governance.
- Assisting with drafting of regulatory announcements.
- Ad Hoc requests and administrative matters (authorised signatory requests, board minute extracts, secretary certificates, auditor requests, etc.) and attending to any notarisation/apostille requirements.
- Mentoring junior members of the team and providing training to the team.
- Identifying opportunities to introduce new business, developing additional sales from existing clients and crossing services across LawDebenture.
- Provide support as required in developing processes and procedures within the UK CSS team.
- Ensure you remain up to date with relevant legal and regulatory requirements, horizon scan for upcoming changes and help in identifying new areas of business.
Essential Knowledge, Skills & Experience
- CGI part or fully qualified (or other professional qualification if relevant experience can be demonstrated).
- Good communication skills, both written and verbal, and confident in communicating effectively with stakeholders at all levels.
- Building relationships and rapport, demonstrating credibility.
- Pro-actively requesting and acting upon feedback received on the quality of work produced.
- Demonstrating high-performance behaviours and progression within the career management framework.
