The Head of Legal is crucial in offering legal guidance and support across various aspects of our business operations. You will primarily focus on regulatory compliance, contract negotiation and drafting, risk and dispute management, and corporate governance. Additionally, you will be involved in mergers and acquisitions as well as the company’s IPO process.
ROLE AND RESPONSIBILITIES
- Corporate Business Related
- Draft, review, negotiate, and advise on a broad range of contracts to align with company policies, ensuring these documents serve the company's strategic interests.
- Provide legal guidance on a wide range of issues, including litigation, compliance, and various commercial matters.
- Identify and manage legal risks and devise risk mitigation strategies in response to them.
- Collaborate with other departments to create internal regulations, address corporate governance issues.
- Manage potential and actual litigation matters and disputes, work closely with external legal advisor, if necessary.
- Mergers and Acquisitions (M&A) Related
- Ensure regulatory compliance throughout the M&A process.
- Manage external & internal stakeholders in an appropriate manner.
- Offer legal expertise and strategic counsel and help to ensure the transaction contributes positively to the company's growth and success.
- Initial Public Offering (IPO) Related
- Provide support in ensuring adherence to securities laws and regulations, including the preparation and filing of the registration statement and prospectus with regulatory authorities.
- Assist in the drafting, review, and verification of the accuracy of legal documents associated with the IPO process.
- Contribute to the restructuring of corporate governance to meet the standards required of public companies.
- Facilitate effective coordination and communication with external parties involved in the IPO, including external legal counsel, underwriters, and regulators.
- Help in identifying legal risks associated with the transition to a public company and suggest strategies for their mitigation.
- Support the management of legal matters related to employee stock options, incentives, and communications to ensure proper handling.
- Manage Global Legal Team
- Lead, develop, and oversee the global legal team to ensure high-quality, timely, and business-oriented legal support across all regions and aligned with the company’s global strategy.
- Establish clear structures, workflows, and governance mechanisms to support efficient collaboration among regional legal teams and cross‑functional stakeholders.
- Oversee the selection, management, and evaluation of external legal counsel worldwide, ensuring quality, cost efficiency, and alignment with corporate objectives.
- Monitor global regulatory changes and ensure the legal team is prepared to address emerging risks and support new business initiatives.
REQUIREMENTS
- Basic Qualifications
- Singapore-qualified lawyer with a minimum of 10 years PQE (Post-Qualification Experience), including at least 5 years of in-house legal experience.
- Law degree from an accredited institution.
- Admission to the Singapore Bar or an equivalent legal body.
- Experience & Competencies
- Proven experience managing cross-border legal matters across multiple jurisdictions.
- Strong ability to prioritize and proactively manage diverse legal workstreams.
- Excellent organizational skills and attention to detail.
- Demonstrated commercial acumen and strong legal judgment.
- Proficient in analyzing legal issues and solving complex problems.
- Ability to provide strategic advice to senior leadership.
- Experience in the SaaS or software industry is highly preferred.
- Communication & Collaboration
- Ability to explain complex legal concepts clearly and succinctly to non-legal stakeholders.
