The International Office of the General Counsel (IOGC) is a high-performing in-house legal team with personnel based in five countries. The team provides legal advice on a wide variety of key strategic matters and legal, regulatory and reputational issues and risks, and also supports the execution of critical business decisions made by KPMGI. The IOGC is divided into three sub teams. This role will sit within the IOGC Corporate and Commercial sub team which provides legal advice on a broad range of corporate and commercial matters.
This includes helping to design and execute global strategic initiatives (including our global insurance programs) and advising on issues related to KPMGI's structure and network arrangements, KPMGI corporate secretarial matters, KPMGI governance, KPMGI banking & financing and KPMGI insurances. The role will involve advising on non-contentious insurance matters, including:
- Advising on and supporting the renewal of KPMG's global cyber and PII insurance programs as well as on D&O insurances;
- Providing guidance and support to member firms in connection with their insurance arrangements and the coverage provided;
- Drafting and advising on policy wordings;
- Supporting with the preparation of underwriting submission materials;
- Assisting with insurance legal and regulatory compliance issues.
There will be some limited focus on contentious insurance work which will involve providing support in cyber claims and notifications to insurers and supporting with regularised reporting to insurers on some claims matters. The individual will work under the supervision of two senior insurance lawyers and a Principal/Partner Equivalent in IOGC who is a specialist insurance lawyer. While the insurance-related work will be the focus of the role, it will also involve providing support on more general corporate and commercial matters - for example relating to governance and constitutional matters and contracting, among other areas within the remit of the IOGC Corporate and Commercial sub team.
General corporate/commercial matters include:
- Legal Support in respect of KPMG's Global PII Program (advisory/non-contentious);
- Legal Support in respect of KPMG's Global Cyber Program (contentious and non-contentious) and other insurances.
Requirements:
- PQE (or equivalent if not England and Wales qualified) experience as a qualified lawyer, although all candidates who demonstrate an ability to fulfil the role will be actively considered.
- Excellent technical legal skills (including both advanced technical knowledge of core commercial legal issues and advanced technical legal skills such as research and drafting).
- Understanding of the business drivers affecting, and legal and regulatory risk faced by large global organisations.
- Experience of negotiating and advising on commercial contracts would be desirable.
- Experience of legal considerations concerning insurance notifications and professional indemnity, cyber and/or D&O insurances more generally would be advantageous but is not essential.
- Strong interpersonal and presentation skills and ability to communicate effectively both verbally and in writing.
- Ability to work in a highly demanding environment and deliver multiple activities where priorities can change quickly.
- Ability to engage and deal with individuals across different functions, geographies and at varying management levels within the organisation.
- Ability to work collaboratively and flexibly as part of a supportive team while taking responsibility for own work.
- Fluency in English; additional language skills are an advantage but are not essential.
