Kodak Alaris is seeking a Commercial and Corporate Counsel to join our small but highly effective legal team as we work to support Kodak Alaris as it transforms and grows by providing guidance and counsel on a wide array of interesting and often challenging business-related legal issues across the EMEA and APAC regions. This role will report directly to the Business Unit General Counsel.
The primary duties of the role involve providing Commercial legal support to the Kodak Alaris and Kodak Moments business units in the EMEA and APAC regions. Candidates that have Corporate as well as Commercial experience are encouraged to apply as the role will also involve supporting M&A activity from time to time as well as general corporate legal matters. The successful candidate will be expected to have a very good working knowledge of commercial matters and will work autonomously with minimal supervision. Excellent prioritisation and time management skills are therefore key.
The successful candidate will be collaborating closely with and offering day-to-day advice to business stakeholders while also working closely with the Global legal team and corporate functions. Given the agile and highly visible nature of our legal team with exposure to everyone from the CEO down through the organisation, the successful candidate will need to take ownership of problems and execute on solutions. We prioritise driving outcomes and are seeking candidates who can leverage their expertise and take decisive action. As such, we encourage candidates who are collaborative and proactive team players.
Job Duties & Responsibilities:
- Review, draft and negotiate a wide variety of agreements, such as customer sales, software and service contracts, purchasing contracts, intellectual property licenses, marketing terms, real estate leases and other commercial agreements for the Kodak Alaris and Kodak Moments divisions.
- Provide counsel to the corporate functions, such as Human Resources, Procurement, Finance and Environment, Health and Safety.
- Manage disputes and litigation as such may arise.
- Conduct research on legal issues and provide clear, concise findings to guide senior management in their decision-making process.
- Coordinate as needed with outside counsel for specialised expertise.
- Provide assistance with compliance issues, including those relating to data privacy, information security, anti-bribery and labour laws, customs and trade regulation and environmental laws.
- Provide general support to the legal team and perform other duties as assigned by the BU General Counsel.
- Lead change management programmes to improve operational efficiency.
- Support transformation projects such as sales, acquisitions and strategic partnerships from time to time.
- Assisting with managing the group's banking, treasury and insurance arrangements.
Qualifications (Education, Experience and Certifications):
- Qualified UK solicitor with 3-5 years PQE gained in commercial and corporate law ideally with some in-house experience. Candidates with IT/software licensing and data privacy expertise will be particularly welcome.
- Completed training contract at a recognised law firm and Legal Practice Course at level Merit or Distinction.
- Experience of working in another EU jurisdiction would be an advantage.
- Strong consideration will be given to candidates with some career experience in a non-legal business role or those who may be looking to return to the workplace following a career break.
- Have the right to legally work in the UK.
- Occasional (10% or less) business travel within and outside of the UK may be required.
- Excellent communication skills (both verbal and written) with the ability and confidence to know when to 'push' and when to 'push back'.
- Self-starter with excellent organisational, prioritisation and time management skills.
- Can balance legal risks with business priorities, distinguish commercial terms from legal issues and clearly articulate risk to non-legal partners in a clear and concise manner.
- Ability to work autonomously with minimal supervision.
- Proficient IT skills, including working knowledge of Microsoft Office Suite (Word, Excel, PowerPoint, Outlook, etc.), Adobe Acrobat and internet-based resources.
- Responsive to the needs of the organisation and is a strong team player.
