Responsibilities
- Draft, review, analyze and negotiate various contract documents, including master services agreements, data protection agreements, statements of work, purchase orders, license agreements, reseller agreements, NDAs, RFPs, etc. in English and preferably in a second European language, with a heavy focus on technology contracts.
- Manage, participate in, and resolve general legal matters affecting the company’s international operations.
- Research legal issues and prepare memorandums to explain any risks/liabilities that could impact the company.
- Provide advice and interpretation of contract requirements, obligations, and risk exposure to management.
- Verify compliance with corporate guidelines and summarize risks for management review and approval.
- Assist with global expansion (including the integration of Egress or future M&A transactions, investor relations and/or stock purchases).
- Advise on intellectual property matters.
- Interpret and apply U.S. and foreign laws to business operations.
- Work with outside legal counsels.
- Offer counsel on a variety of complex legal issues.
- Implement strategies to avoid litigation and mitigate potential risks.
- Advise and provide support to the tax and finance departments for routine filings, as needed.
- Assist with the creation and maintenance of global compliance programs and process flows as needed by the affiliated entities.
- Conduct process and procedure audits to ensure legal compliance and that best practices are followed.
- Advise on contract status, legal risks, and the liabilities associated with different deals.
- Monitor and ensure compliance with required corporate filings.
- Stay informed on relevant laws and regulations that may impact the organization’s international operations.
- Provide genuine recommendations as to the hiring, firing, promotion, and discipline of subordinate employees to which the Company gives significant weight.
Minimum Qualifications
- Must have completed a doctorate or masters of law (or equivalent degrees).
- Minimum 7 years of experience practicing law in areas applicable to the position.
- Minimum 7 years of experience drafting and reviewing legal documents in English and preferably in a second European language.
- Minimum 7 years of experience with UK Public Procurement laws.
- Minimum 7 years of experience negotiating commercial contracts including technology contracts.
- Minimum 7 years of experience with data privacy, including GDPR.
- Experience working in-house.
- Knowledge in data privacy/cybersecurity.
- Experience with compliance programs.
- Licensed Attorney/barrister or solicitor (previously held or current).
- Excellent verbal and written command in English and preferably in a second European language.
- Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization.
- Strong negotiating skills with both legal and commercial issues.
- Excellent time management and organization skills.
- Ability to establish and maintain strong relationships between the organization’s business units and affiliate entities.
- Ability to work both independently and collaboratively.
- Ability to work well under pressure.
- Ability to handle high volumes of work at a fast pace.
- Ability to work with teams long-distance.
