We are looking for a Senior Legal Counsel to be based in London, UK. Reporting to the Head of Legal and Corporate Affairs, you will provide legal support across a broad range of matters in support of the client. The legal function of the Company supports the Company and its affiliates in all business areas for both day-to-day operations (e.g., corporate, contractual, regulatory, litigation matters) and extraordinary transactions (such as M&A and project financing).

The company is responsible for overseeing a broad portfolio of CO₂ Transportation and Storage (T&S) projects across the UK and internationally. With a clear roadmap to becoming an integrated leader in the carbon ecosystem, the organisation is leveraging an extensive portfolio of depleted gas fields along with deep technical knowledge and established networks to repurpose existing infrastructure at the centre of major industrial clusters. This approach enables the delivery of fast, cost-effective and scalable solutions that support the energy transition. Main Responsibilities

  • The Senior Legal Counsel will provide proactive, commercially focused legal advice across the organisation's portfolio. Responsibilities include:

Commercial & Contractual Work

  • Drafting, reviewing, and negotiating a broad range of commercial agreements, including:
  • Decommissioning and site management contracts
  • Procurement and service contracts
  • Crossing, proximity, land, real estate, and planning-related agreements
  • Joint venture, shareholder, confidentiality, corporate governance and cooperation agreements
  • Asset transfer and intra-group service documentation

Regulatory & Compliance

  • Advising on UK regulatory obligations applicable to large-scale energy infrastructure.
  • Supporting compliance across licensing, permitting, operations, and reporting frameworks.

Corporate & Transactional Matters

  • Providing legal support on acquisitions, divestitures, due diligence activities, pre-emption processes, and general M&A-related work.
  • Assisting with corporate reorganisations, restructurings, and legal entity updates.
  • Advising on disputes, including litigation, arbitration, mediation, and expert determinations.
  • Managing external legal counsel where required.

Cross-Functional Collaboration

  • Working closely with internal teams including operations, engineering, procurement, corporate functions, commercial, and project delivery.
  • Engaging with external partners, regulators, advisors, contractors, and stakeholders.

Governance & Reporting

  • Participating in internal legal reporting processes.
  • Using internal document management and legal information systems.
  • Ensuring adherence to internal policies, ethics standards, and HSE requirements.

Skills & Experience Required

  • Law degree with strong academic performance.
  • Significant post-qualification experience in commercial, regulatory, or infrastructure-related legal work.
  • Experience at a senior level in a complex corporate or regulated environment.
  • Strong understanding of UK energy, infrastructure, industrial operations, or comparable sectors (not required to be industry-specific).
  • Excellent drafting, negotiation, and communication skills.
  • Strong commercial acumen and ability to manage high levels of responsibility.
  • Ability to work both independently and collaboratively across multi-disciplinary teams.
  • Willingness to attend occasional meetings or site visits within the UK or overseas.
