Job Description

Purpose of the Role

Provision of company secretarial services to both Project Joint Venture and the wider Company Group under the supervision of the Company Secretary.

Key Responsibilities

  • Provision of Company Secretarial services to the Project Group Companies (20 plus companies).
  • Corporate Governance and Compliance.
  • Corporate Restructuring.
  • Support to the Chairman of the Board(s) and to the Boards' Committees.
  • Project Work.
  • Main Accountabilities and Responsibilities
  • Company Group Secretarial Services
  • Assistance in the provision of core company secretarial services to Searah Limited and Searah Group companies including preparation of board/shareholder documentation, minutes of meetings, attending meetings as required and various matters related to statutory accounts.
  • Corporate Governance and Compliance
  • Advice on corporate governance matters for UK incorporated/managed companies of the Group including internal compliance with Corporate Governance rules (e. g.

Manual of Authorities and Internal Regulatory System), act as a focal point in relation to auditing activities (both internal and external), maintenance of statutory records and books and, where relevant, consideration of UK domiciliation/mind of management issues.

  • Monitor changes in the relevant legislation and regulatory environment and advise internally accordingly.
  • Corporate Restructuring
  • Assistance in the provision of general company secretarial support in relation to the corporate restructuring activities of Searah Group including liquidations, strike-offs, capital restructuring and corporate re-organisations.
  • Support to the Chairman of the Board(s) and to the Board Committees
  • Work closely with Chairmans in organising meetings, setting agenda, take notes of actions and follow up on actions with the board and committees' members.
  • Project Work
  • General assistance on ad hoc matters and projects of Searah Group as they arise from time to time including work related to corporate acquisitions and review.
  • Main Interfaces (Relationships)
  • Internal (Company, No Reporting Line)
  • Company Secretary.
  • Project Group boards chairmans/directors and committees' chairpersons/members.
  • External
  • Companies House and any other equivalent institution operating in jurisdictions where Project Group is present.
  • Professional advisers such as lawyers, notaries, accountants and registrars both in the UK and abroad.
  • Candidate Requirements

Education & Professional Qualifications

  • Strong academic record (degree preferable).
  • Part or full ICSA or similar/equivalent qualification (Desirable).
  • Required Experience and Technical Competencies
  • Extensive company secretarial experience (6 years plus) of complex corporate organisations/structures (Desirable).
  • Previous experience in Oil & Gas/Energy Sector (Desirable).
  • Knowledge of company secretarial software (e. g. Blueprint). (Essential).
  • Good working knowledge of Excel and Word. (Essential).
  • Strong company secretarial skills/knowledge. (Essential).
