Our leading Corporate, Commercial & Finance team at Kingsley Napley (KN) is looking to recruit a talented Corporate Associate (0-3 PQE)

This is an exciting opportunity to work across a broad spectrum of corporate matters supporting founders, entrepreneurs, high net worth individuals, early-stage ventures, and institutional investors; predominately in the technology, fintech, healthcare and media sectors.

Unlike traditional corporate teams focussed on large institutions, our CoCo team is deeply embedded in the startup ecosystem, offering strategic and creative advice to HNWIs and entrepreneurial clients. Our legal expertise, collaborative approach and deep sector knowledge means we\’re able to support clients at every stage of their business journey – from start-up to investment and no two days are ever the same

Some day to responsibilities will include
:

• Assisting with large-scale corporate transactions and independently manage smaller deals focussing on M&A, capital markets, and investment work (angel investors, founders, VCs).
• Drafting and negotiating key documents including SPAs, shareholder agreements and JV agreements
• Advising on corporate law matters such as reorganisations, capital reductions, share buybacks, governance, and directors\’ duties
• Leading verification and due diligence processes, manage datarooms, and coordinating transaction workflows
• Liaising with clients, legal representatives, and internal teams to ensure smooth execution
• Provide company secretarial support including drafting minutes, resolutions, and share transfer
• Conduct legal research and support asset tracing where required and supervise junior fee earners.

What are we looking for?

• Experience in a corporate team (and at least one seat during a training contract)
• A responsive, pragmatic, and commercially minded associate with a strong emphasis on getting deals done efficiently—even under tight timelines
• A proactive individual with clear communication across the team on matters
• A demonstrable interest for corporate work – delivering pragmatic and creative solutions
• Excellent organisation, case management skills and financial discipline
