An exciting opportunity has arisen for a dedicated and experienced Career Paralegal with a strong background in Company Secretarial work. Based in Woking, this permanent role offers a balanced mix of paralegal and company secretarial duties, making it ideal for someone looking to build a long-term career in this area. The role will involve providing critical legal and governance support within a professional and collaborative environment.
Key Responsibilities:
- Company Secretarial Support: Assist in preparing and filing statutory documents, including annual returns, resolutions, and filings with regulatory bodies. Maintain statutory registers, records, and filings to ensure compliance with corporate governance requirements. Support the preparation and distribution of board meeting packs, minutes, and other company secretarial documentation.
- Legal Assistance and Compliance: Provide general legal support, including contract drafting, reviews, and negotiations, across a variety of commercial areas. Assist in maintaining corporate governance and ensuring compliance with relevant legal and regulatory frameworks. Draft and file compliance-related documents, maintaining an accurate and up-to-date legal record.
- Document Management and Administration: Organise and maintain legal and company secretarial documents in line with internal processes and procedures. Ensure all legal documentation is up-to-date and stored in accordance with internal and external audit requirements. Support with the management of legal deadlines, ensuring statutory and internal filings are submitted on time.
- Stakeholder and Board Support: Provide administrative support to the board and senior management teams, including meeting coordination and minute-taking. Act as a point of contact for any company governance queries from internal teams or external stakeholders.
- Corporate Governance and Internal Projects: Assist with the development and implementation of corporate governance practices and policies. Support ad-hoc internal projects, including shareholder meetings, board meetings, and compliance audits.
Qualifications and Experience:
- Experience: Proven experience as a paralegal with at least 3-5 years of experience, ideally within both legal and company secretarial environments. Solid understanding of company law, corporate governance, and compliance matters. Experience with statutory filings, maintaining corporate records, and supporting board-level meetings.
- Skills: Exceptional organisational skills with a keen eye for detail and accuracy. Strong communication skills, with the ability to liaise effectively with both internal teams and external stakeholders. The ability to manage competing priorities and meet deadlines in a fast-paced, evolving environment. A proactive attitude, able to work independently and as part of a team.
- Desirable: Experience in drafting, reviewing and amending contracts.
