A senior governance professional is sought to act as deputy to the Chief Legal Officer & Company Secretary within a large, regulated organisation. This role plays a key part in supporting effective corporate governance, Board and Committee operations, regulatory compliance, and organisational decision-making. Working closely with senior executives, Board members and non-executive directors, you will provide expert governance advice, oversee governance frameworks, and drive continuous improvement across the organisation.
Key Responsibilities
- Lead the planning and delivery of Board and Committee meetings and annual governance cycles.
- Advise senior stakeholders on corporate governance, regulatory requirements and director responsibilities.
- Maintain and enhance governance frameworks, policies and decision-making processes.
- Oversee entity governance, statutory records and corporate reporting obligations.
- Support governance aspects of strategic projects, transactions and organisational change initiatives.
- Build strong relationships across Executive and Board-level stakeholders.
- Provide leadership, guidance and development support to a small Company Secretariat team.
About You
- Significant Company Secretariat or governance experience, ideally within a regulated environment.
- Strong knowledge of corporate governance, statutory and regulatory requirements.
- Experience supporting Boards, Committees and senior executives.
- Excellent stakeholder management and influencing skills.
- Strong judgement, discretion and professional integrity.
- Highly organised with exceptional drafting and communication skills.
- Commercially aware with a pragmatic approach to problem-solving.
