We are partnering with a leading global technology organisation to appoint a Senior Commercial Counsel to support its growing Services & Solutions business across Europe and the Middle East & Africa. This is a highly commercial, customer-facing legal role supporting complex technology and services transactions, including Device-as-a-Service (DaaS), Infrastructure-as-a-Service (IaaS), Managed Services and industry-specific solutions.
The successful candidate will work closely with sales, commercial, finance, delivery and legal teams to help structure, negotiate and close sophisticated, multi-country transactions while providing pragmatic advice on legal and commercial risk.
The Role
You will act as a key legal partner to the Services & Solutions business, taking ownership of the legal workstream across complex transactions from initial negotiation through to contract execution. Key responsibilities will include:
- Lead the legal workstream for complex, multi-country services and solutions transactions, supporting negotiations and driving resolution of contractual issues through to execution.
- Work directly with customers and counterparties in negotiations, building trusted and commercially constructive relationships.
- Partner closely with sales and commercial teams to structure and close large, strategic transactions.
- Advise the business on existing contractual commitments and support the development and launch of new services, software and technology solutions.
- Provide pragmatic advice on a broad range of commercial, regulatory and contractual issues.
- Work collaboratively with lawyers, subject matter experts and business stakeholders across multiple international regions.
- Develop and maintain practical playbooks, templates and contracting tools to support the Services & Solutions business.
- Support the creation of standard contractual frameworks for emerging services and commercial models.
- Identify when specialist legal input is required and coordinate with internal subject matter experts and external counsel.
- Ensure transactions align with contracting policies, risk frameworks, AI governance and other relevant corporate governance requirements.
- Provide clear visibility to legal and business leadership on deal status, key risks, escalation points and potential solutions.
- Help the business find commercially viable solutions to contractual issues while maintaining appropriate legal and risk protections.
About You
We are looking for a senior commercial lawyer who enjoys being close to the business and is comfortable operating in a deal-driven, fast-moving environment. You will ideally bring:
- A J.D. or equivalent legal qualification.
- 12+ years' experience negotiating complex, multi-country technology, IT or telecommunications services contracts.
- Significant experience with enterprise technology, managed services or other complex services agreements.
- Strong contract drafting and negotiation skills, with the ability to translate legal risk into clear, practical commercial advice.
- Experience partnering closely with sales and commercial teams in a transaction-focused environment.
- Strong commercial awareness and an understanding of the key drivers of profitability and deal execution.
- Excellent judgement, particularly around prioritising legal risk and finding pragmatic solutions.
- Experience working within large, global organisations with multiple stakeholders and decision-makers.
- Confidence representing the legal function directly with customers and third parties.
Desirable Experience
Experience in one or more of the following would be advantageous:
- Technology financing, IT asset leasing or equipment financing.
- Device lifecycle management.
- Subscription or "as-a-service" commercial models.
- Managed Services and/or complex outsourcing arrangements.
- Building contracting playbooks, templates and legal frameworks for new products or services.
- Project management within a complex commercial or legal environment.
You will be a strong communicator and relationship builder, with the confidence and gravitas to operate at senior levels across both legal and commercial functions. You should be comfortable working with ambiguity and evolving legal, regulatory and governance requirements, while maintaining focus on getting the deal done. The role may involve occasional travel to customer and business sites.
