Our client, a leading FTSE 100 organisation with a complex international structure, is seeking an Assistant Company Secretary to join on a 12-month fixed-term contract. This is a high-profile role within a respected governance function, offering broad exposure across both the listed parent company and a large global subsidiary portfolio.
You will take ownership of key governance activities, ensuring compliance with the Companies Act, Listing Rules, managing insider processes and supporting market announcements via the London Stock Exchange. You will oversee subsidiary governance across multiple jurisdictions, coordinate board and committee activity, support restructurings and integrations, and contribute to annual report and shareholder communications, including governance and remuneration disclosures. You will also provide support and cover to the Deputy Company Secretary as required.
You will be a full or part-qualified Company Secretary with experience in a listed environment and have strong knowledge of UK corporate governance frameworks. Experience managing subsidiary governance within a multinational group is essential. You should be immediately available or available at short notice, confident working with senior stakeholders, and comfortable taking a hands-on, pragmatic approach.
