Job Description

Fixed-Term Contract (FTC) with slightly increased seniority, while retaining the core responsibilities and tone.

Senior Equity Incentives Lawyer (12-18 Month FTC) | Global Insurance Group | London (Hybrid)

We are partnering with a leading global insurance group that is undergoing rapid growth and strategic evolution. To support this exciting phase, the group is looking to appoint a Senior Equity Incentives Lawyer on a 12-month fixed-term contract to join their high-performing Corporate Legal team. This role will take on increased strategic ownership during a critical period for the business.

The Opportunity

Reporting into the Group Head of Corporate Legal, this position will act as the lead legal advisor on all matters related to equity incentives—including the design, implementation, and governance of global employee equity schemes. You will play a key part in harmonising share plan frameworks internationally and supporting the business through pre-listing structuring activity, while also shaping the legal infrastructure for long-term growth.

This is a rare opportunity for a senior, commercially minded lawyer to operate at the intersection of law, compensation, and corporate strategy within a dynamic and globally integrated insurance group. The role is based in London with hybrid working arrangements.

What You’ll Be Doing

  • Leading the legal design, drafting, and rollout of a variety of equity incentive arrangements, including RSUs, PSUs, profit interests, and bespoke plans
  • Supporting equity legal structuring and readiness ahead of potential listing activity (e.g. IPO preparedness)
  • Advising on executive and leaver equity provisions, including high-value and sensitive packages
  • Developing and rolling out a consistent, scalable equity framework across jurisdictions
  • Helping shape the development of an internal employee share market (buy/sell mechanisms)
  • Collaborating with HR, Finance, and external counsel to ensure cross-border legal and regulatory compliance (UK, US, EU and others)
  • Providing legal guidance on equity-linked elements of M&A and broader corporate activity

What We’re Looking For

  • Qualified solicitor (England & Wales or equivalent) or US-qualified attorney
  • 6+ years’ PQE with significant experience in equity incentive plans across multiple jurisdictions
  • Expertise in international employee compensation structures, ideally within founder-led or high-growth businesses
  • Strong understanding of governance, regulatory and commercial considerations in pre- and post-listing environments
  • Excellent interpersonal and communication skills, with a track record of effective cross-functional collaboration
  • Pragmatic and solutions-focused, able to thrive in a fast-paced, change-oriented environment

What’s on Offer

This 12-18 month FTC offers a senior legal professional the chance to lead a core legal workstream in a purpose-driven, global organisation that views legal as a strategic partner. The business maintains a people-first culture and flat structure that encourages ownership, autonomy and impact.
