Corporate & US Securities Counsel - London
We are working exclusively with a Global Fintech Business for a London-based lawyer to join its legal team, supporting a broad range of corporate matters with an additional focus on US securities and capital markets.
The ideal candidate will have a strong grounding in corporate finance, alongside some knowledge or experience of US securities and capital markets.
An LLM in the US could be particularly relevant, although this is not essential.
The key requirement is someone who brings that additional US perspective and can apply it within a sophisticated international business with a US-listed parent.
The Role
The role will have a broad corporate remit, alongside responsibility for matters connected with the group's US listing, including:
- Handling matters relating to non-material public information.
- Supporting SEC compliance and reporting requirements.
- Advising on matters connected with the group's US listing.
- Developing and applying knowledge of US securities and capital markets requirements.
- Supporting corporate finance matters.
- Advising on UK and EU corporate law matters.
- Supporting broader corporate matters as part of the legal corporate group.
- Working with colleagues and stakeholders across the business on cross-border matters.
About You
- Experience or knowledge of corporate finance.
- A degree of knowledge and understanding of US securities, capital markets and/or finance.
- An interest in US public company requirements and SEC matters.
- Ideally, some exposure to SEC compliance, reporting or related US listing matters.
- The ability to work across UK/EU and US legal considerations.
An LLM in the US would be advantageous and could be a particularly good way of demonstrating the additional US knowledge we are looking for, but it is not a prerequisite.
The priority is a strong corporate finance/capital markets lawyer who brings an additional US touch and is interested in developing that aspect of their practice.
