Our client, a FTSE 100, is looking for a Corporate Governance Manager, with some experience in subsidiary governance to join their team on a permanent basis. This is a newly created role to work within a highly recognised company secretarial function, where you will have the opportunity to make the role your own, help drive positive change and deliver best in class company secretarial advice.
Reporting into the Group Deputy Company Secretary you will be responsible for setting up and embedding subsidiary governance frameworks within the organisation. Wider responsibilities will include:
- Managing a team of two within the subsidiary governance team
- Setting up effective corporate governance frameworks and embedding them within the organisation
- Working closely with the wider company secretarial function as well as with senior stakeholders and advising on all matters relating to subsidiary governance
- Setting up and monitoring compliance within the Entity Governance Policy
- Servicing the Boards in an efficient and effective manner
- Liaising with third party company secretarial suppliers
- Ad hoc project work
The Deputy Company Secretary is hugely inspirational and is looking for someone to work in partnership with them – helping to build out best in class company secretarial teams that provide practical, solutions focused and commercial advice.
To be considered for the role you should:
- Be a qualified Company Secretary (at least to ACIS level)
- Have extensive experience setting up and embedding subsidiary governance frameworks
- Be comfortable advising on all matters relating to subsidiary governance
- Have extensive experience in stakeholder management
- Ideally have worked within a plc
- Ideally have managed a team
- Have a passion for subsidiary governance and have a strong vision as to what great looks like
