Regional Company Secretary (Europe & Asia Pacific)
Location: London
About the job
A well-established international financial services group is looking for an experienced company secretary to join its London legal function. You’ll be the main governance contact for a group of regulated entities across Europe and Asia Pacific, owning the full cycle of board, committee and shareholder activity. It’s a visible, hands‑on role with real autonomy, working closely with senior legal leadership and directors across the region.
Day to day, you will:
- Act as the first point of contact for governance across the regional entities
- Build and run the annual governance calendar, including ad hoc meetings
- Prepare notices, agendas, board packs, resolutions and minutes
- Advise directors and chairs on procedure, requirements and follow-up actions
- Keep statutory records, registers, signing authorities and entity files accurate and audit-ready
- Manage entity housekeeping, including director and officer changes, restructurings and approvals
- Oversee regulatory and corporate filings, working with external providers and local counsel
- Help develop the group’s entity governance framework, policies and approval processes
- Track board decisions and elevate governance risks where needed
- Lead director onboarding and governance training
- Work with Legal, Compliance, Risk, Finance, Tax and Treasury colleagues
- Improve governance processes and board technology
- Support the regional legal lead with practice management and wider team initiatives
Skills
- Degree in law, business, finance or a related field, or equivalent hands‑on experience
- Proven company secretarial, governance or entity management experience, ideally in banking or another regulated financial services environment
- Strong command of board and committee administration, minute taking and statutory records
- Knowledge of governance requirements in EU and Asia Pacific jurisdictions, or the ability to build it quickly
- Skilled at interpreting constitutional documents and delegated authorities and applying them practically
- Excellent drafting, with a sharp eye for accuracy
- Strong organisation, able to juggle multiple entities, deadlines and time zones
- Good judgement, comfortable challenging gaps in a process and escalating concerns
- Confident dealing with directors, senior executives and external advisers
- Experienced with board portals, entity management systems and Microsoft Office
This an excellent opportunity to join a major company at a senior level.
