Full-Time On-site

Board-level influence. Leadership responsibility. A role at the heart of an international funds business. We're working with a leading international investment business seeking an experienced Head of Corporate Governance to lead its Jersey governance function.

This is a significant senior leadership opportunity combining corporate governance, fund operations, regulatory oversight and people leadership. You'll sit on regulated and unregulated boards, oversee key committees and take responsibility for the governance and administration of funds, investment vehicles and internal management structures.

The Opportunity

You'll have genuine ownership across governance, risk, regulatory matters, reporting, fund operations, banking, capital flows and entity management, while leading a substantial Jersey team and holding responsibility for the Corporate Governance budget.

You'll also play an important role in improving how the function operates, exploring new systems, processes, technology and AI to raise standards and drive greater efficiency.

What You'll Be Doing

  • Sitting on regulated and unregulated Boards and playing a key role across governance committees.
  • Leading and developing the Jersey Corporate Governance and administration teams.
  • Overseeing governance across funds, SPVs, management entities and other structures.
  • Taking ownership of risk, compliance, regulatory filings and audit requirements.
  • Overseeing financial reporting, investor communications, tax processes and key regulatory deliverables.
  • Managing fund calls, distributions, banking arrangements and wider capital-flow processes.
  • Overseeing new entities, fund structures, co-investments, restructurings and corporate activity.
  • Managing relationships with depositaries, administrators and other third-party service providers.
  • Owning the Corporate Governance Jersey budget and supporting resource planning and recruitment.
  • Driving continuous improvement through better processes, technology, systems and AI.

What We're Looking For

  • Significant senior-level experience across Fund Administration, Corporate Governance or Company Secretarial work within regulated financial services.
  • Strong knowledge of Jersey regulatory requirements, ideally alongside exposure to UK and Luxembourg structures.
  • Experience sitting on regulated Boards and Committees.
  • A recognised professional qualification such as CGI/ICSA, ACA, ACCA or equivalent.
  • Broad understanding of fund operations, financial reporting, audit, banking, capital calls and distributions.
  • Proven experience leading and developing teams.
  • Confidence operating with significant autonomy and engaging with senior stakeholders.
  • Strong commercial judgement combined with high governance standards.
  • A genuine interest in challenging existing processes and using technology to improve how things are done.

Why This Role Stands Out

  • Genuine Board-level responsibility and influence.
  • Lead a significant governance function rather than simply supporting one.
  • Broad exposure across governance, funds, operations, risk and regulatory matters.
  • Work with sophisticated private equity fund and investment structures.
  • Take ownership of people, resources and budget.
  • Significant autonomy and delegated authority.
  • Opportunity to influence operational improvement across the wider funds business.
  • Work in an environment actively exploring technology, systems and AI to improve efficiency.

Interested?

If you're an experienced Fund, Governance or Company Secretarial leader looking for a role with genuine influence, autonomy and Board-level responsibility, we'd love to hear from you.
