We are seeking a versatile, high-caliber Senior Corporate Counsel to join our legal team. As a generalist, you will navigate the intersection of traditional corporate law and the evolving landscape of digital assets and fintech. This role is perfect for a lawyer who thrives on variety—a handling everything from high-stakes M&A and venture financing to the intricate nuances of crypto-specific commercial contracts.
Responsibilities
- Commercial Transactions & Specialized Contracting: Draft, negotiate, and manage complex commercial agreements. Lead legal review for Crypto and Payment-related contracts, including liquidity provider agreements, custody arrangements, and payment processing terms.
- Corporate Governance & International Operations: Oversee corporate governance for our US and global entities, ensuring compliance with local statutory requirements. Manage board secretarial duties, including drafting resolutions, maintaining minute books, and managing entity formations/dissolutions. Stay abreast of evolving regulatory requirements in multiple jurisdictions.
- Strategic Transactions (M&A & Fundraising): Provide end-to-end legal support for fundraising rounds. Execute Mergers & Acquisitions (M&A), including due diligence management, data room oversight, and definitive agreement negotiation. Manage relationship with outside counsel to ensure cost‑effective and high‑quality deliverables.
- General Advisory & Stakeholder Support: Serve as a trusted advisor to internal stakeholders (Product, Finance, HR, and Operations) on day‑to‑day legal issues. Proactively identify legal risks and implement scalable mitigation strategies. Support the development and refinement of internal legal templates and playbooks. Support MTL applications.
Requirements
- Education: J.D. from an accredited US law school and active bar membership in at least one US jurisdiction.
- Experience: Minimum of 5 years of experience in a high-growth "in-house" environment.
- Domain Expertise: Proven track record in fintech, payments, or the crypto/web3 space is highly preferred.
- Communication: Ability to explain "legalese" to non-lawyers with clarity, wit, and brevity.
- Adaptability: Comfortable with ambiguity and able to pivot quickly in a fast‑paced global regulatory environment.
