SCOPE OF ROLE
The Group Compliance / Finance Manager supports the business in meeting its statutory and regulatory requirements, contributing to good corporate governance, effective Board administration and sound compliance practices. Working closely with the Head of Financial Services, Finance Director and senior leadership team, the role supports effective Board processes, statutory compliance and group administration across UK and overseas entities.
- Corporate Governance & Compliance
Support the Head of Financial Services on governance and statutory compliance matters, ensuring the Group operates in accordance with its legal obligations and governance requirements. Support compliance with the Companies Act 2006 and other relevant legislation across the Group's UK and overseas entities. Maintain statutory registers, company records and corporate filings across Group entities. Assist with director appointments, resignations and related statutory filings. Organise the preparation, circulation and signing of Board minutes and written resolutions. Coordinate Board and shareholder approvals in accordance with the Group’s constitutional documents. - International & Corporate Structuring
Assist with the incorporation of UK and overseas companies. Assist with corporate restructurings, changes in share capital and related corporate actions. Help maintain and update Group cap tables and ownership records. Respond to statutory information requests from internal departments and external stakeholders. Support licensing applications and ongoing regulatory registrations where required. - Banking, Finance & Guarantees
Coordinate bank account openings, mandate changes and updates to authorised signatories. Maintain authorised signatory frameworks and approval matrices across the Group. Support guarantee and bond applications including performance bonds and parent company guarantees. Liaise with banks, insurers and professional advisers to ensure timely execution of financial documentation. Support the preparation of corporate and financial information required for tenders and major projects. - Regulatory & Reporting Compliance
Respond to KYC queries and corporate documentation requests from banks and counterparties. Coordinate FATCA and CRS classifications and submissions where required. Support compliance with financial institution reporting requirements. Maintain accurate corporate records to support audit and lender compliance processes. - General Company Administration
Maintain company registration records across multiple jurisdictions. Ensure accurate and up‑to‑date corporate documentation across the Group. Provide governance and corporate administration support across the organisation. Support ad‑hoc governance, compliance and corporate projects as required. - Group Financial Accounting Support
Support the Group financial accounting function, including assistance with interest calculations across loan facilities and intercompany arrangements. Assist with the preparation and submission of VAT returns, ensuring compliance with HMRC requirements and relevant VAT legislation. Support the preparation and submission of Construction Industry Scheme (CIS) returns, including verification of subcontractors and monthly reporting obligations. Contribute to Group financial reporting, including supporting the production of management accounts, consolidated reporting and financial statements. Prepare and coordinate financial reports for funders, lenders and investors, ensuring accuracy and alignment with facility agreements and reporting covenants. Support the Group’s payment practices reporting obligations, assisting with the timely and accurate submission of biannual reports in line with the Reporting on Payment Practices and Performance Regulations.
HOW YOU'LL SUCCEED
Maintain accurate and well‑structured company records, ensuring the Group is always audit and compliance ready. Build trusted relationships with banks, advisers, and internal stakeholders, managing financial documentation and governance processes with confidence and precision. Support the finance function proactively, delivering accurate VAT, CIS and management reporting on time and in line with regulatory requirements. Demonstrate sharp attention to detail across statutory filings, signatory frameworks, and corporate documentation across multiple jurisdictions. Operate as a reliable and solutions‑focused team member, comfortable managing competing priorities in a fast‑paced, PE‑backed business environment. Contribute to a culture of compliance and continuous improvement across the finance and governance function.
WHAT IT TAKES
Essential
Previous experience in a compliance, finance, audit or governance‑related role. Proficient in Microsoft Office, particularly Excel and Word. Experience in group financial reporting, including consolidated accounts, management reporting or financial statements. Experience in an audit, assurance or compliance environment with an understanding of financial controls and reporting obligations. Familiarity with tax compliance processes such as VAT returns, CIS or similar statutory submissions. Demonstrable ability to maintain accurate records, follow established processes and produce well‑structured documentation. Experience liaising with external advisers, auditors, banks or professional service providers in a structured and organised manner.
Qualifications
Part‑qualified or qualified in company secretarial practice or governance (e.g. CGI / ICSA) is desirable; candidates actively studying towards a qualification are welcomed. Part‑qualified or qualified in a relevant finance discipline (e.g. AAT, ACCA, CIMA or equivalent) is desirable; candidates actively studying towards a qualification are welcomed.

Experience using Companies House online services, accounting software (e.g. Xero, Sage, MS Dynamics 365 / Evision) or document management systems. A background in company secretarial practice.
