Leading global law firm is looking to hire a Private Investment Funds Lawyer. This role can be based in London, Edinburgh, or Glasgow. Hybrid-working arrangements are also available. The ideal candidate would be a qualified lawyer with upwards of 6 years’ experience in funds transactions and related work.
Role Profile:
The Funds team acts for fund managers on a full range of investment funds work, including fund structuring, formation, and investment work, focusing on sectors such as energy, infrastructure, climate & sustainability, impact, real estate, debt, and private equity funds.
The team also advises significant institutional investors on their investment programs, including primary commitments, secondary transactions, co-investments, separate account mandates, and consortium arrangements.
The firm is recognized for its work on African fund formation and has a strong focus on impact investments and sustainable finance. The team has an excellent track record, having been shortlisted for The Lawyer Funds Team of the Year and the Financial Times Innovative Lawyers award for its work in impact funds.
The team collaborates closely with the tax team to provide comprehensive legal advice on fund structuring and establishment. As part of the firm’s financial services group, the Funds team also benefits from the support of regulatory lawyers to advise on financial regulation aspects of fundraising, such as financial promotion and AIFMD.
Candidate Requirements:
The ideal candidate will have experience advising on matters related to the establishment of and investments in private investment funds. Business development skills are essential to support the team\’s growth ambitions. Relevant experience includes:
- Drafting constitutional documentation of funds, including limited partnership agreements, shareholder agreements, and unit trust deeds;
- Drafting and negotiating ancillary documentation such as management and administration agreements;
- Advising on carried interest arrangements;
- Providing high-level advice on UK financial regulation related to investment funds, with familiarity with AIFMD and the UK\’s financial promotion regime;
- Negotiating fund documentation with investors and handling side letter requests;
- Drafting LLP agreements for setting up new managers;
- Coordinating with offshore law firms and administrators;
- Reviewing fund documentation for institutional investors and preparing user-friendly reports;
- Negotiating with fund counsel on behalf of investors, whether as cornerstone or minority investors;
- Discussing new funds with both start-up and experienced managers.
