Job Description
Overview
JPMorgan Asset Management is a market leader in the investment trust industry. The investment trust department of JPMorgan Funds Limited (\’JPMF\’) manages the affairs of 16 investment trust companies listed on the London Stock Exchange, including one domiciled in Guernsey. There is also 1 US listed investment company.
The Company Secretarial & Board Management team provides a full client support service for the Investment Trusts all of which are managed by JPMorgan Asset Management.
Job Summary
The Company Secretary will fulfill the legal duties of a company secretary for multiple investment trusts, extending beyond traditional responsibilities to encompass broader aspects of investment trust management. The role involves providing information and advice to boards to facilitate informed decision-making, requiring an experienced company secretary with a proven track record of excellence.
In this role, you will report into the Head of Secretariat.
Job Responsibilities
- Fulfilling the legal duties of a company secretary for a portfolio of Investment Trusts.
- Providing comprehensive legal and governance support and guidance to the board of directors.
- Assisting in the implementation of corporate strategies by ensuring that the board\’s decisions and instructions are properly carried out and communicated effectively.
- Ensuring compliance with all relevant statutory and regulatory requirements.
- Communicating with the shareholders as appropriate.
- Acting as the appointed representative of JPMorgan in respect of the duties as set out in the investment management agreement.
- Coach and train junior members of the team, fostering their professional development and enhancing their skills in company secretarial practices.
- Project management of Annual and Half-Year Reports on a regular basis to internal and external stakeholders.
Required qualifications, capabilities, and skills
- Client focus – Essential to have a client centric mindset with a commitment to integrity, fairness and responsibility.
- Experience – Senior experience in a Company Secretarial role, preferably within an asset management environment.
- Technical knowledge – Must have sound company secretarial knowledge including minute taking and the ability to liaise with directors at a high level with a knowledge of MAR, Companies Act and UK Listing Rule etc.
- Relationship management – Ability to develop partnerships with key business partners, including financial reporting, product development, operations, investment desks, compliance, risk, tax, and internal and external legal counsel.
- Project management – Experience of managing a number of projects and managing tight deadlines with a proven track record of managing projects within a large, highly complex, cross-functional environment.
- Communication, influencing and interpersonal skills – Must have excellent written and verbal communication skills with an ability to articulate complex ideas, concepts, and solutions at a level appropriate to the recipient. Self-motivated as well as a strong team player with a keen sense of ownership and desire for continuous improvement.
- Document management – Must have a keen attention to detail with excellent organizational skills which can be competently utilised to manage large agendas.
- Qualifications – Fully Qualified Chartered Secretary with Associate or Fellow Membership with the Chartered Governance Institute UK.
