We are supporting a friendly independent financial services business with the recruitment of an experienced Company Secretary to play a key role in the governance and administration of its internal group entities. This is a pivotal position within the business, working closely with the Governance Director, Board and senior management to ensure the group continues to meet its statutory, regulatory and governance obligations.
Responsibilities:
- Maintain statutory registers and records for all group companies.
- Support director appointments and resignations.
- Coordinate regulatory filings.
- Act as the central point of contact for audit, insurers and banking reviews.
- Organise and attend board and committee meetings.
- Prepare agendas and board packs.
- Ensure meetings are accurately minuted and information flows effectively between directors and stakeholders.
- Oversee contractual records, NDAs and signatory lists.
- Manage disclosures and regulator notifications.
- Embed best practice across governance processes.
Qualifications:
- Professionally qualified company secretarial or governance professional holding a relevant qualification such as ICSA or STEP.
- Strong understanding of Jersey company law and associated regulatory requirements.
- Strong organisational and communication skills.
- Ability to work independently, manage competing deadlines and maintain high standards under pressure.
- Experience with governance systems or electronic document management platforms is advantageous; training can be provided.
