Major American law firm are looking for a leveraged finance paralegal / contract lawyer to join their London office and assist with all phases of corporate and banking transactions and form an important part of the team, working alongside partners and attorneys. The focus is to perform all responsibilities with a commitment to providing a first-class service to the Firm’s clients.
Responsibilities include:
- Assist in transaction management throughout the life-cycle of a deal.
- Draft, edit and maintain necessary checklists, organisational charts and spreadsheets.
- Review and edit transaction documents for sense, consistency, cross reference accuracy, facts, calculations and typographical errors.
- Prepare, update, assemble and distribute transaction documents to clients and other counsels.
- Assist in drafting and reviewing corporate authorisations and other conditions precedent documentation.
- Assist with due diligence matters.
- Draft due diligence memorandum, call logs, fact back up charts and transfers circle ups.
- Carry out various company registry searches and other factual research.
- Prepare and maintain signing/closing checklists.
- Prepare signature packs and compile executed documents.
- Prepare closing sets and bound volumes.
It is essential that you have substantial paralegal experience within a leveraged finance team from another major law firm – unfortunately you will not be considered if you don’t have leveraged finance experience. Although this is predominantly a paralegal role, they will also consider a contract lawyer / foreign qualified lawyer for the role providing you have done leveraged finance work. You must also have high attention to detail, the ability to prioritise work and manage time effectively to meet deadlines.
