Join us as a Corporate Lawyer within our dynamic Group Corporate and Treasury Legal (GCTL) team at Barclays. This team is comprised of corporate, capital markets and prudential regulatory lawyers responsible for supporting Barclays Head Office functions including Finance, Treasury, Regulatory Policy, Risk, Investor Relations and Corporate Secretariat on general corporate advisory, financial reporting, capital markets transactions, regulatory capital, prudential regulation and other projects or legal issues of group-wide significance.
The primary focus of this role is to lead and advise on the Companies Act, UK Listing Rules, Disclosure and Transparency Rules, UK Corporate Governance Code and UK Market Abuse Regulation, amongst other key pieces of the regulatory and legal framework as it applies to the Barclays Group. You will also proactively oversee key control elements, including the proactive identification of new and emerging risks and threats by providing targeted advice and guidance that is supported by clear rationale and justification.
To be successful in this role you should:
- Be a senior UK qualified or other commonwealth qualified lawyer with experience of corporate advisory and public disclosure requirements, and extensive experience of advising PLCs on listed company matters and public disclosures.
- Have deep knowledge of the UK Companies Act, FCA Listing Rules, Disclosure and Transparency Rules and UK / EU Market Abuse Regulation alongside an understanding of parallel US corporate and company law and regulatory requirements.
- Have a proven track record of using these skills in an advisory capacity to oversee key controls and advise on corporate finance and disclosure matters.

- Experience in an in-house role, in particular within financial services.
- This role focuses on corporate rather than capital markets, however, a general awareness of the latter is useful.
- Experience of ECM and corporate M&A.

Purpose of the role
To ensure that the bank’s corporate governance (including public disclosures) is maintained. Creation and periodic review of legal documents in accordance with contractual arrangements policy.
Accountabilities
- Development and implementation of best practice legal strategies for risk management and compliance.
- Legal advice and support to the bank on a wide range of legal issues, including disclosure and financial reporting, company and corporate law issues and corporate governance, securities issuances, regulatory capital, recovery and resolution planning and disclosures.
- Representation of the bank in legal proceedings related to company and corporate legislation and regulatory requirements, Barclays’ public disclosures, Group Treasury securities issuances, recovery and resolution planning and disclosures and regulatory capital, such as litigation, arbitration, and regulatory investigations, working together with other internal teams as appropriate.
- Creation, review and advice in relation to legal documents such as public disclosures, results announcements, shareholder communications, equity issuances and buy-backs, corporate governance matters, securities offering documents, contracts, policies and procedures to ensure compliance with applicable laws and regulations.
- Legal research and analysis to stay up to date on changes in laws and regulations that may impact the bank's corporate governance, public disclosure, financial reporting, Group Treasury securities issuances, recovery and resolution planning, and regulatory capital.
- Developing and delivering training programmes to educate employees on legal and regulatory requirements related to corporate and company law issues, disclosure and corporate governance, treasury securities issuances, recovery and resolution planning and regulatory capital.
- Pro-active identification, communication, and provision of legal advice on applicable laws, rules and regulations (LRRs). Keeping up to date with regards to changes to LRRs in the relevant coverage area. Ensuring that LRRs are effectively allocated to, and adequately reflected within, the relevant policies, standards and controls.
