This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Senior Corporate Counsel based in Canada. We are seeking a commercially minded legal professional to build and lead the legal function of a fast-growing technology organization. This role offers the opportunity to operate at the intersection of law, business strategy, and emerging AI technologies. You will play a key role in enabling growth by managing complex commercial agreements, reducing risk, and creating scalable legal processes. Working closely with executive leadership and cross-functional teams, you will influence decisions that impact customers, partnerships, and operations. Accountabilities

  • The Senior Corporate Counsel will be responsible for establishing and scaling legal operations while supporting business growth through practical, strategic legal guidance.
  • Partner with executive leadership, commercial teams, and business stakeholders to manage complex negotiations with enterprise customers and strategic partners.
  • Draft, review, negotiate, and close commercial agreements including SaaS agreements, data licensing agreements, Master Service Agreements (MSAs), Data Processing Agreements (DPAs), and NDAs.
  • Create legal templates, playbooks, and scalable processes to improve contracting efficiency and support business expansion.
  • Translate technical, AI-related, privacy, and regulatory requirements into actionable internal policies and operational practices.
  • Collaborate with engineering and technology teams to identify legal risks related to AI systems, data governance, security, and compliance obligations.
  • Develop and oversee privacy and data governance frameworks aligned with applicable regulations, including Canadian privacy laws, healthcare-related requirements, and emerging AI governance standards.
  • Manage corporate legal matters including board resolutions, equity plan administration, intellectual property assignments, insurance matters, and vendor agreements.
  • Provide strategic legal recommendations to leadership teams and contribute to executive and board-level discussions.
  • Coordinate with external legal advisors when specialized expertise is required.
  • Build strong partnerships across Sales, Revenue Operations, Technology, and Business teams to enable fast and effective decision-making.

Requirements

  • The ideal candidate is an experienced corporate lawyer with strong commercial judgment, excellent communication skills, and the ability to operate independently in a high-growth technology environment.
  • Required qualifications include: 8+ years of relevant legal experience with a J.D. or LL.B. degree and active membership in good standing with a Canadian provincial bar.
  • Strong experience drafting and negotiating commercial agreements, including SaaS contracts, MSAs, order forms, DPAs, and technology-related agreements.
  • Excellent contract negotiation and redlining skills, with the ability to provide clear business recommendations.
  • Experience working with technology, AI, machine learning, legal technology, or SaaS organizations.
  • Strong understanding of privacy, data governance, compliance, and emerging technology regulations.
  • Ability to communicate complex legal concepts clearly to non-legal stakeholders.
  • Experience collaborating with engineering or technical teams is highly valued.
  • Builder mindset with enthusiasm for creating legal frameworks, processes, and operational systems from the ground up.
  • Strong business acumen and ability to balance risk management with commercial objectives.
