Morgan Stanley's Securitised Products Group Lending Europe team ("SPG Lending") focuses on asset backed lending ranging from traditional commercial real estate to pools of loan assets. The business, which sits within Morgan Stanley's Fixed Income Division, is recognized for providing traditional and innovative financing techniques, helping a wide range of clients throughout Europe to execute their business strategy.

SPG Lending is looking to recruit an experienced lawyer for its Structuring and Execution Management Team to work on all aspects of infrastructure finance transactions, with particular focus on energy projects. This is an on-desk role, placing you at the forefront of structuring and documentation for complex deals across renewable and conventional energy sectors, as well as broader infrastructure assets.

You will work closely with originators, syndication/securitisation teams, and external counsel to deliver innovative financing solutions. The role spans the full transaction lifecycle - from initial underwriting and term sheet negotiation through to credit agreement execution, funding and risk exit.

What will you be doing?

  • You will work alongside underwriting and syndication teams to structure and execute our infrastructure finance transactions.
  • Key responsibilities include:
    • Transaction Structuring & Execution
      • Advise on and draft documentation for infrastructure and energy finance transactions (including renewables, power generation, LNG, and digital infrastructure such as data centres and fibre networks).
      • Negotiate loan agreements, security packages, and intercreditor arrangements in line with LMA standards.
    • Cross-Functional Collaboration
      • Liaise with internal teams (Legal, Compliance, Tax, Operations) and external stakeholders (clients, counsel, regulators).
    • Risk Management
      • Ensure compliance with regulatory frameworks and manage legal risk throughout the transaction lifecycle.
    • Market Insight
      • Stay abreast of developments in energy transition, sustainability-linked financing, and emerging infrastructure trends.

What we're looking for?

We are looking for a highly motivated and commercial candidate who has experience in a broad range of infrastructure finance transactions ideally with exposure to energy projects (renewables, conventional power, LNG, or energy transition assets).

Skills that will help you in the role:

  • 8+ years PQE with a major law firm or financial institution.
  • Experience with structuring and transaction execution on a business desk would be advantageous.
  • Familiarity with LMA documentation and project finance structures, including direct lending, warehouse/back leverage and securitisation.
  • Commercially driven with ability to adapt to a varied workload.

The successful candidate will need to be FCA certified to perform this role and pass the associated exams before commencing employment with us.
