The successful candidate will provide strategic tax advice on complex corporate transactions, business restructurings, and tax planning for SME owner-managed businesses and high-net-worth individuals.
Corporate and Business Tax Advisory
- Providing strategic tax advice on corporate transactions, including mergers, acquisitions, disposals and demergers.
- Structuring corporate reorganisations, group restructurings and business exits in a tax-efficient manner and supporting with clearance applications.
- Advising on tax implications of private equity transactions, joint ventures and management buyouts.
- Supporting corporate clients and shareholders with tax efficient succession structures, including employee ownership trusts, employee benefit trusts, enterprise management incentive and growth share schemes.
- Supporting corporate clients with tax-efficient funding structures, including debt and equity financing.
- Advising OMBs, SMEs and larger corporates on tax planning opportunities and risk mitigation.
Transactional Tax Support
- Working closely with the Corporate and Commercial teams to provide tax input on share and asset sales.
- Advising and negotiating tax covenants, tax indemnities and warranties, and tax disclosures in sale and purchase agreements.
- Structuring earn-outs, deferred consideration and other commercial arrangements to optimise tax efficiency.
- Assisting businesses with VAT, SDLT and other indirect tax considerations in corporate transactions.
Real Estate and Property Tax
- Advising property developers, investors and corporate occupiers on tax-efficient structuring of property transactions.
- Providing guidance on SDLT reliefs, VAT implications, capital allowances and offshore structures.
- Supporting clients with tax planning on commercial and mixed-use property acquisitions and disposals.
Private Client Tax for Business Owners & HNW Individuals
- Advising high-net-worth business owners and entrepreneurs on succession planning and exit strategies.
- Providing tax-efficient solutions for business wealth preservation, including IHT and CGT mitigation.
- Assisting with trust structures, family investment companies and other estate planning methods.
Business Development and Leadership
- Building and maintaining strong relationships with corporate clients, investors and professional intermediaries.
- Supporting the firm's growth strategy by expanding the tax offering and mentoring junior team members.
- Leading business development initiatives, including networking, speaking at internal and external events and assisting the marketing department with publishing thought leadership content.
Who we are looking for
We are looking for an established Tax Partner or experienced Senior Associate (8PQE+) with experience at either a national or top tier regional firm. Candidates are required to have exceptional knowledge of all areas of tax law, experience of providing high quality advice representing a leading law firm, an ability to collaborate with other solicitors and departments around the firm and play a role in supervising more junior members of the team. We would expect the successful candidate to have top quality connections in the regional market, although a client following is not necessary. Experience of working with SME and OMB clients is also desirable. The successful candidate will demonstrate high levels of technical skill and the ability to maintain strong client relationships. Candidates are also required to demonstrate how they can promote the Corporate/Tax departments and other legal services offered by the firm to existing and new target clients and obtain referrals from contacts and referrers. Candidates must have a pragmatic and solution-focused approach to their work and good client management and matter management skills. The ability to work well with experienced professionals within a team-oriented environment is essential.
