The Employee Incentives team sits within a highly ranked Tax and Structuring practice, working at the heart of the firm's most significant corporate transactions. The team advises seamlessly across UK offices, partnering closely with Corporate colleagues on private equity deals, mergers and acquisitions, flotations and complex business reconstructions.
The Role
Joining the firm’s highly respected Employee Incentives team, you will advise on all aspects of employee benefits and incentives work. This will include the design, implementation and communication of senior executive and employee incentive arrangements, the establishment and operation of employee benefit trusts, executive tax planning (including internationally mobile executives), as well as corporate governance, regulatory and compliance matters.
More specifically, your work will involve the drafting and implementation of both tax-advantaged and non-tax-advantaged share schemes, including growth shares, JSOPs, EMI, CSOP and LTIP arrangements. You will advise on both the corporate and tax aspects of these schemes, alongside providing regulatory advice and drafting clear, practical employee communications.
The transactional element of the role will include acting on public and private M&A matters, with the share schemes workload comprising a balanced mix of transactional support and standalone advisory work, fluctuating in line with deal activity. You will advise a diverse client base across sectors including sports and betting, food retail, financial services and other major commercial industries, working with both domestic and international organisations.
As a Managing Associate, you will become a key member of this high-performing, cohesive and busy team. You will contribute to the ongoing growth of the practice by building and maintaining strong client relationships, while working closely with the firm’s Corporate teams on complex, multi-disciplinary matters.

You will be encouraged to take on significant responsibility with the opportunity to lead on matters, play an active role in business development and support the supervision and development of junior lawyers within the team.
